1. Having examined the Tender Documents No. M.010169-M-42697-001(downloaded from
https://mptenders.gov.in/nicgep/app) including subsequent amendments/ addendum/ clarifications
/corrigendum, if any,issued during the Pre-Bid stage;our Techno-Commercial Bid and subsequent
clarification thereon, in respect of the ‘Empanelment’ Tender(No. 2019_MPPGC_905_1), we the
undersigned, offer to Design, Manufacture, Test, Deliver, Install and Commission (including
carrying out Performance Guarantee Test) and O&M of the Facilities, for the FGD package at
SSTPP Stage II (2X660 MW), in full conformity with the said Tender Documents[including the
Tender document No M.010169-M-42697-002 for this ‘Limited’ Tender
(No.2020_MPPGC_74084_1), also downloaded from https://mptenders.gov.in/nicgep/app], on
prices quoted by us in ‘Price Schedules’, uploaded against the instant tender & subsequently
finalized after completion of “Reverse Auction”.
We confirm that our Techno-commercial offer (submitted against tender no.
2019_MPPGC_905_1) and the Price Bids (submitted against this tender
No.2020_MPPGC_74084_1), along with all other supporting documents of this proposal, are valid
for a period of 180 days from the date of Bid submission against this ‘Limited’ tender or as
extended by us on your request. The same shall remain binding on us and may be accepted by
you at any time before expiration of that period. Further, we also confirm having uploaded the
scanned copy of amendment to the BG submitted towards the Bid Security (EMD), in the
prescribed format, thereby extending the validity of the EMD:BG upto 180 days from the next day
of the original bid submission date, with a claim period of another 30 days

In line with the requirement of the Tender Documents, we enclose herewith the following

a. The declaration regarding import of Construction Equipment incorporating CIF value of

Construction Equipment .

3. PRICE SCHEDULE:
In line with the requirements of the Tender Documents, we enclose herewith the following Price
Schedules, duly filled in as per your performa:

Schedule No. 1 Prices towards Plant and Equipment including Type Tests charges

TENDER SPECIFICATION

Schedule No. 2 Prices towards Plant and Equipment including Type Tests charges
and Mandatory Spares/ Tool & Tackles, to be supplied/
manufactured within the Employer’s Country. We have indicated
the Local Transportation & Inland Transit Insurance and other local
costs incidental to delivery of Plant & Equipment and Mandatory
Spares/ Tool & Tackles, supplied from within the Employer’s
Country.

Schedule No. 3 Prices towards Installation Services i.e. Erection, Testing,

Commissioning and conducting PG test including handling &
storage at site and carrying out other services as specified in the
Tender documents. The scope includes Storage Cum Erection
Insurance (up-to PG Test & handing over of facilities) and
insurance towards Civil works but excluding inland transit
insurance already covered under Schedule 1 & Schedule 2, above.

Schedule No. 4 Lumpsum Prices towards Civil, Structural and Architectural works
comprising of design & construction including supply of labour &
material for civil works for all the required buildings, foundations
and super structures included in scope of this tender.

Schedule No. 5 Prices towards Schedule of O&M Services for initial one (1) year
including all applicable Taxes & Duties.

Attachment 3P Declaration regarding Deemed Export Benefits

4. We are aware that the Price Schedules do not generally give a full description of the work to be
performed under each item and we shall be deemed to have read the Technical Specifications,
Drawings and other sections of the Tender Documents to ascertain the full scope of work
included in each item while filling in the rates and prices. We agree that the entered rates and
prices shall be deemed to include the full scope as aforesaid, including overheads and profit.
Pursuant to ITB clause 3.11.4(a) &, 3.11.4(b) and 3.22.4 of Part 1 of 5 of tender
documents for Empanelment Tender, we confirm that the prices for mandatory spares quoted by
us, are in compliance with the requirements as per the list specified in the Technical
Specification and are included in Price Schedule-1 & Schedule-2 of the Tender Documents. We
understand that in case, any deviations, variations and additional conditions are found in the
Price Schedule-1& Schedule-2 of Price Bid in respect of these mandatory spares, which are
contrary to the requirements of the Tender Documents for the Empanelment Tender, the same
shall not be given effect to, in the evaluation and it shall be considered that the bids are in
compliance with the requirements of the Tender Documents. In such cases, it is binding on us to
supply such mandatory spares, as per detailed engineering without any extra cost implication to
you.

TENDER SPECIFICATION

4.1 We declare that as specified in the General Conditions of Contract (Clause 5.12) of the
‘Empanelment Tender’, prices quoted by us in the Price Schedules shall be subject to
adjustment in accordance with Schedule C; Section X; Part 1 of 5 of the ‘Empanelment
Tender’.
4.2 We understand that in the price schedule, where there is discrepancy between the unit price
and the total price, which is obtained by multiplying in the unit price and quantity, or between
sub totals and the total price, (even in case of carry forward of prices) the unit or subtotal price
shall prevail, and the total price shall be corrected accordingly. Similarly, in case of any
discrepancies in total bid price, the same shall be corrected to reflect the actual summation of
the Schedule prices.
4.3 We declare that prices left blank in the schedules will be deemed to have been included in the
prices of other items. The total for each Schedule and the total of Grand Summary shall be
deemed to be the total price for executing the Facilities in complete accordance with the
Contract, whether or not individual item has been priced.
5. We confirm that except as otherwise specifically provided, our Bid Prices include all applicable
Taxes, Duties, Levies and charges (including BoCW Cess) as may be assessed on us, our Sub-
Contractor/ Sub-Vendor, our assignee and our assignee’s sub-contractor/sub-vendor (if
applicable, in case of foreign bidders) or their employees by all Municipal, State or National
Government authorities in connection with the facilities, in and outside of India, as prevailing on a
day, Seven (7) days prior to the scheduled date of submission. We understand that BOCW Cess,
if leviable on the E&M supplies covered under the ‘First’ & ‘Second’ contracts, shall be borne by
MPPGCL and are not included in the prices quoted by us.
5.1 We understand that notwithstanding 5 above, you shall bear and promptly reimburse
Customs duty, IGST and any other levies on imports on the Plant and Equipment including
Mandatory Spares to be supplied from abroad and specified in Schedule No.1 (and on
recommended spare parts to be supplied from abroad and specified in Schedule No.8, if
awarded) to be incorporated into the Facilities, leviable/applicable as per the Indian Laws.
However, we understand that if we choose to ship the equipment in Shipper's Containers,
then the Custom duty, IGST and any other levies on imports levied on the cost of such
empty Containers, shall not be borne by you and shall be borne &payable/reimbursable by
us.
5.2 We further understand that notwithstanding 5 above, you shall also bear and reimburse to us,
Goods and Service tax and any other taxes/duties/levies applicable, if imposed on the Plant
& Equipment including Mandatory Spares supplied / manufactured within the Employer's
country and specified in Schedule No.2 (and also on locally supplied recommended spares
quoted in Schedule No. 8, if awarded), to be incorporated in to the facilities, by the Indian
Laws.
Taxes and duties which are payable by the Employer under the Contract shall be
reimbursed by the Employer to the Contractor against dispatch of equipment/spares to site and on
production of satisfactory documentary evidence by the Contractor.
5.3 We confirm that we shall get registered with the concerned Tax Authorities as per the GST
Laws and other relevant Laws in force in India.
5.4 To the extant not indicated separately in the ‘Price Schedules’, we confirm that all Taxes,
Duties and Levies in respect of Local Transportation & Insurance, Port clearance, Port
charges, & other local costs incidental to delivery of Plant & Equipment including Mandatory
Spares, Erection & Commissioning and Taxes, Duties & Levies, as may be applicable on
the materials used for such Erection & Commissioning shall be to our account and no
separate claim in this regard will be entertained by you. We confirm that other Taxes and
Levies on works contract, if any, shall be to our account and no claim in this regard will be
entertained by the Employer.

TENDER SPECIFICATION

5.5 We confirm that Goods and Service Tax, on account of any services, on any component of
the bid price shall be to our account and included in the Contract Price, as applicable on the
date of seven (7) days prior to the last date of bid submission. However, financial
implication if any on account of any changes in the rate/ applicability of Goods and Service
tax as applicable for direct transaction between you and us shall be to your account in line
with the provision of GCC Clause 5.15.4.
5.6 We understand that Ministry of Power (Govt. of India) has certified SSTPP, Stage-II (2x660
MW) Mega Power Project status. Accordingly, supplies of imported goods for this project
are eligible for the benefits/exemptions as per provisions of relevant notifications of Govt. of
India. All such benefits have been passed on to the Employer in the quoted prices.
However, we understand that presently the Deemed Export Benefits are not
available to any of the Mega Power Projects. However, we confirm that in the event of a
change in the Govt. policies with a decision to resume the policy of extending such benefits
to the notified projects, in their current or changed form or any other benefits leading to a
reduction in duty/tax liability, the benefits of such reductions shall be passed on to the
Employer during the execution of the contract, as applicable. We further confirm that we
shall be solely responsible for obtaining such benefits and understand that the Employer’s
liability in this respect shall be limited to providing relevant certificates/ documentation, as
required under the statute.
All requisite certificates / declarations etc like the ‘Essentiality Certificate’ as
may be required by the contractor for affecting the Duty free imports or availing other
benefits, under the Deemed Export / Mega Power Policy, shall be provided by the Employer
on the Contractor’s specific request.
5.7 We declare that benefits of the ‘Input Tax Credit’, as is available to us /our Sub-vendors at
each stage of the supply chain, have been passed on to MPPGCL, by way of reduction in
prices in accordance with the “Anti-Profiteering” measure [ Section No 171] of The Central
Goods And Services Tax Act, 2017] .

6. We declare that we have quoted the Plant & Equipment including the spares to be supplied
from abroad on CIF basis. We confirm that we are seeking qualification on the basis of
association/collaboration with the manufacture(s) of particular equipment(s). We further
confirm that the prices of the plant and equipment including mandatory spares, which shall be
imported from the associate’s/collaborator’s country by the manufacturer or by us, have been
included in the total CIF (India port-of-entry) price quoted by us in Schedule-1.(Applicable
only if Bidder has sought qualification on the basis of association/collaboration)

7. If our bid is accepted, we undertake to commence work on the facilities immediately upon
issue of your ‘Letter of Award’ to us and to achieve ‘Completion of Facilities’ and conduct
‘Performance Guarantee’ Tests within the time specified in the Tender Documents for the
‘Empanelment’ Tender (No. 2019_MPPGC_905_1).
If our bid is accepted, we undertake to provide Advance Payment Security and
Contract Performance Securities, including that from our Collaborator(s)/Associate(s) towards
Deed(s) of Joint Undertaking (as applicable), in the form &amounts and within the time(s)
specified in the Tender Documents for the ‘Empanelment’ Tender. We further confirm that
these securities shall contain reference of the ‘Empanelment Tender
(No.2019_MPPGC_905_1) and the ‘Limited’ Tender (No.2020_MPPGC_74084_1),as well as
the bids submitted by us against these two tenders.
8. We agree to abide by this Price bid for a period of 180 days from the date of Bid submission
against this ‘Limited’ tender and it shall remain binding upon us and may be accepted by you
at any time before the expiration of that period. Further, the prices of recommended spares

contained in our Price Bid shall remain valid for your acceptance, up-to the execution of the
EPC contract for this package.
9. We understand that MPPGCL shall be carrying out the ‘Reverse Auction’ as per the ‘Terms &
Conditions of the Reverse Auction’, specified in the tender documents. We have also
reviewed the methodology/ sample calculation sheets to be utilized by the employer, for back
calculating the L-1 price discovered from the ‘Reverse Auction’ and bifurcating the same into
the ‘Five’ contracts for order placement.
10. Until a formal Contract is prepared and executed between us (M/s MPPGCL & the bidder),
this bid and the T&C Bid submitted against Tender No.2019_MPPGC_905_1, together with
your written acceptance thereof, in the form of your ‘Letter of Award’ shall constitute a binding
contract between us.
11. We understand that you are not bound to accept the lowest or any other bid you may receive.
12. We confirm that of cost of Special Tools &Tackles furnished by us in Attachment-4 of our
Techno-Commercial Bid, against the Empanelment Tender, is included in lumpsum price
quoted in this Price Bid.
13. We, hereby, declare that only the persons or firms interested in this proposal as principals are
named here and that no other persons or firms other than those mentioned herein have any
interest in this proposal or in the Contract to be entered into, if the award is made on us and
that this proposal is made without any connection with any other person, firm or party likewise
submitting a proposal, is in all respects for and in good faith, without collusion or fraud.
14. We further understand that if the Bidder or any of his representatives are found to be involved
in Price Manipulation/cartel formation of any kind, directly by communicating with other
Bidders or found to be engaged into any malpractices, thereby influencing the tendering
process in any way, action as per Employer’s extant guidelines/policies, shall be taken by the
Employer.
15. We do hereby declare that our Firm has not been blacklisted/ debarred by any Govt.
Department/Public Sector Undertaking.
16. We certify that all information furnished by our Firm is true & correct and in the event that the
information is found to be incorrect/ untrue or found violated, then your department
/organisation, shall without giving any notice or reason thereof, shall summarily reject the bid
or terminate the contract, without prejudice to any other rights or remedy including the
forfeiture of the full said earnest money deposit absolutely.
