KNOW ALL MEN BY THESE PRESENTS:

This RETAINERSHIP AGREEMENT made and entered into in Makati City, Metro
Manila, this ___ day of ________, 2020, by and between:

_______________________, of legal age, Filipino citizen and

with residence and postal address at
___________________________, hereinafter referred to as the
CLIENT;

-and-

ATTY. KARL KRISTJAN B. MORO, with office address at

3600 P. Cortez St., Pinagkaisahan, Makati, Metro
Manila, hereinafter referred to as the LAWYER.

Witnesseth THAT:

The CLIENT hereby retains and engages the LAWYER to and that the latter
accepts such retainer subject to the following terms and conditions, to
wit;

RETAINERSHIP FEES: That the RETAINERSHIP FEE to be paid by the ENGAGING

CLIENT for the services of the LAW FIRM shall be Ten Thousand Pesos (Php
10,000.00) per month payable in advance on or before every Fifth (5th)
day of each month starting ________________.

If adjustments need to be made upward due to increased demand of CLIENT’s

business, either party may initiate on another agreement for the increase
of the RETAINERSHIP and OTHER FEES.

SCOPE OF SERVICES: The ENGAGING CLIENT continues to constitute and

appoint the LAWYER as its authorized representative and empowers the
same to act for and on behalf of the ENGAGING CLIENT in all regular legal
matters, dealings and concerns pertaining to the business of the latter
in the Philippines, which authority shall be limited to the following
acts to be rendered by the LAW FIRM:
  Drafting and Review of Contracts;
 Drafting of Legal Opinion in matters directly related to the
business of the Client;
 Preparation of Demand Letters;
 Drafting of Termination Notices if the ENGAGING CLIENT shall
decide to terminate the employment of its employee;
 Drafting of Waiver, Quitclaim and Release, and other related
documents for the employees whose employment with the ENGAGING
EMPLOYEE shall be severed, whether voluntarily or due to just
and authorized causes; Provided that, the ENGAGING CLIENT shall
not immediately terminate an employment without consulting the
same to the LAWYER to ensure that substantial and procedural due
process are complied with.

EXCLUSION: The retainership shall be exclusive of the services enumerated

below and any case/s actually filed before any board, office or tribunal,
whether quasi-judicial or judicial, wherein the CLIENT stands as a party-
litigant; Provided that in the event that the CLIENT becomes a Party-
litigant in any legal proceeding, the LAWYER shall be allowed to charge
a reasonable LEGAL FEES separate from the retainership agreement such
as ACCEPTANCE FEE in the amount of Thirty Thousand Pesos (Php30,000.00)
per case and a PLEADING FEE in the amount of Three Hundred Pesos (PhP300)
per page.

APPEARANCE FEES. Conferences with the Client or any other transactions

requiring the presence of the lawyer, shall be subject to the following
rates:

 If at the Client’s Office – Php2,000.00/meeting.

 If outside the Client’s Office but within Metro Manila-
P5,000.00/appearance/meeting.
 Outside of Metro Manila-depending on the distance.
 Court appearances including appearance before administrative
tribunals within Metro Manila – P5,000.00/appearance.
 Court appearances including appearance before administrative
tribunals outside of Metro Manila shall be billed depending
on the distance involved.

MISCELLANEOUS EXPENSES. The CLIENT shall likewise be liable for the

payment of out-of-pocket expenses such as, but not limited to:
Transportation and Representation, Document Reproduction, Mailing and
Courier Service Fees, Notarial Services and Filing and Regulatory Fees,
which shall all be MINIMALLY CHARGED based on actual cost.

TERMINATION OF RETAINERSHIP AGREEMENT. The CLIENT and the LAWYER may

terminate the agreement by giving written notice to the other party
thirty (30) days prior to the date of the intended termination thereof.

IN WITNESS WHEREOF the parties hereto have signed this Agreement

in the place and date first above stated.
