JOB DESCRIPTION

JOB TITLE Senior Manager, Legal Affairs

BASED IN Petaling Jaya (near Kuala Lumpur, Malaysia)

Purpose of Job

1. To ensure that the organization has adhered to the constitution and by-laws as well as
the laws and regulations of the country.
2. To ensure that organizational legal matters are managed properly, efficiently and that the
relevant and respective stakeholders are shared and given proper advice and guidance.
3. The incumbent will ensure that the CEO, COO, Senior Management Team (SMT),
Honorary Legal Advisor, ExCO and the Board are provided updates and reports on a
regular basis, where necessary.
4. The incumbent will be responsible in being the point person and also managing and
working closely with the Panel of Lawyers for WWF-Malaysia.
5. The incumbent will assist in the risk management if any, based on organizational matters
of concern.

Major Activities

The responsibilities include but not limited to: (this list is non-exhaustive)

Drafting and vetting of routine contracts pertaining to property, license, non disclosure
agreements, intellectual property rights etc., vetting tender documents, handling arbitration
matters and civil suits before various courts of law should any arise and co-ordination with
the panel of lawyers.

a. Legal documents (to work closely with the Knowledge Management Team)

1. Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any,
Undertakings and authority letters, vendor contracts, etc.
2. 1st Drafting and Vetting of all legal documents and co-ordination with the panel of
lawyers to ensure documents are legally sound.
3. Management of all Consultant Contracts.

b. Liaison with Government Offices and Panel of Lawyers

1. Liaison with relevant Government offices and other competent authorities if


necessary.
2. Visit to competent Authorities for documentations, follow up and keeping the record
of the same.

3. Ensure the tenure of the Panel of Lawyers are managed and to review their
commitment to WWF-Malaysia on an annual basis.

c. WWF Network’s legal documents

1. Vetting of all legal documentation from the WWF Network extended to WWF-
Malaysia for any agreements (funding, hosting of staff/programmes etc) and provide
feedback to COO to bring up to the Network Operations Committee for review as
necessary.
2. In charge of policies that concern high risk issues set by the network, for example the
Fraud and Corruption Policy.

d. Handling of court cases

1. Preparations of case drafts


2. Coordination and Briefing / discussion with the lawyers for legal cases and to
negotiate the fees structure of the Advocates.
3. Coordinate and make arrangements required for Arbitration proceedings and provide
the required documents to appointed Advocate for proceeding of Arbitration.
4. Follow up with Advocates for updating of legal cases.
5. Follow up with concerned officer to attend the court.
6. Attend the meetings /conferences as and when required /directed by superiors.

Specifications

1. Possess a Bachelor Degree / Master in Law (LLB/LLM), with at least 7 years of relevant
work experience. An ICSA qualification would be an added advantage.

2. Ability to identify and analyze complex issues / problems in management areas, and
recommend and implement solutions.

3. Ability to manage office functions economically and efficiently, plan work, maintains good
interpersonal relations and communications with lawyers and support staff.

4. Business experience is an added advantage.

5. Displays excellent supervisory and leadership skills.

6. Has the ability to evaluate and weigh all legal aspects and / or situation, and be able to
provide sound solutions, with the ultimate aim of protecting the legal rights of the
Organisation.

Working Relationships

1. To develop a close professional working relationship with the COO/Head of Department


(HoD) of Strategic Management & Operations, to whom you will be reporting to, SMT,
respectively and ultimately to the Executive Director/CEO;

2. The job requires the incumbent to maintain teamwork at all operational levels and to
upkeep good working relations with the government offices / authorities, lawyers and
advocates;

3. Develop a close working relationship with all Units/Departments within WWF-Malaysia;

4. To participate and attend Departments / SMT meetings as and when required;

5. Realise that whilst a one-to-one relationship with the COO/HoD, Strategic Management
& Operations, and relevant individual members of the organisation is critical, some
components of the assigned work or the work of others, within or outside the SMOD,
may require teamwork at various levels. Expected to work with others in team-spirit for
the good of the organisation and towards meeting its conservation objectives.

6. Nurture and maintain positive relationships with WWF-Malaysia staff members,


Malaysian NGOs, government agencies that have conservation objectives and goals that
are similar or complementary to those of WWF-Malaysia.
