INTRODUCTION
1. Over the last decade, multiple mega mergers and acquisitions in the video
(“MVPDs”) becoming programming conglomerates with massive market share and bargaining
power by acquiring networks and programmers. Foremost among these is AT&T Inc. (“AT&T”),
which acquired Time Warner Inc. (“Time Warner”) and its programming networks in 2018. This
merger combined AT&T, the nation’s second largest MVPD, and Time Warner, which operates
many of the nation’s most popular programming networks, including TNT, TBS, CNN, and HBO.
Against this backdrop of increasing consolidation between programmers and distributors, AMC
networks available for distribution today. AMC is well-known and highly valued by consumers
for its award-wining original scripted dramas, such as Mad Men, Breaking Bad, The Walking
Dead, Into the Badlands, Killing Eve and Better Call Saul, along with its slate of acquired movies.

AMC also is one of an increasing number of networks traditionally delivered only as linear
networks that have recognized that the future for video content lies with distribution over
innovative online video services and platforms that can evolve with and attract prudent viewers to
enhance the strength of their linear television offering. AMC has thus begun offering its networks
and content in myriad ways via cutting-edge products, services and apps, including by offering
unique subscription video on demand (“SVOD”) products and offering video content on an

that. It is attempting to cause severe harm to the smaller and independent network AMC, which
offers a fresh, independent and diverse voice on MVPDs’ channel lineups that is highly valued by
subscribers, for the benefit of AT&T’s competing and similarly situated networks, TNT and HBO.

discriminatory in light of AT&T’s treatment of its own networks: AMCN either (i) has to {{
AMC’s ability to compete fairly. The most egregious terms in AT&T’s offer include: {{

}}. These terms are extremely atypical in the marketplace, where AMC

AT&T’s disparate treatment is discrimination on the basis of affiliation, in which AT&T is seeking
to unfairly advantage its own networks, which is precisely what the Commission’s program
7. Ironically, AT&T itself has lauded the robustness of the Commission’s rules
prohibiting anticompetitive behavior in carriage agreements – rules that are designed to prohibit
and remedy the very conduct in which it is now engaging. During the Civil Antitrust Litigation,
AT&T repeatedly cited the Commission’s rules as a sufficient measure to ensure that no abuse of
its market power would occur as a result of the merger. For example, AT&T’s counsel told the
United States District Court for the District of Columbia that “the entire merged company [AT&T]
is going to be subject to the FCC’s rules,” which “deal with vertically integrated companies in this
business” and would “take care of” any anti-competitive conduct after the merger.3/
8. This instant action requires AT&T to be held to its word that the Commission can
use its regulatory powers – in this case, the program carriage rules – to address AT&T’s
discriminatory and anticompetitive use of the disproportionate bargaining power that it now has
competitor.
9. AMCN thus brings this program carriage complaint to seek relief from AT&T’s
discriminatory conduct that violates Section 616 of the Communications Act of 1934, as amended,
and the Commission’s program carriage rules. The Commission should order AT&T to carry
AMC and AMC+ (along with AMCN’s other programming networks) on fair, reasonable and

STATEMENT OF FACTS
1. Jurisdiction
10. This Complaint is brought in accordance with and pursuant to the jurisdiction
provided by Section 616 of the Communications Act of 1934, as amended (“Act”) and Section
76.1302 of the Commission’s rules.4/ The notice required by 47 C.F.R. § 76.1302(b) was provided
by letter to AT&T from AMCN’s outside counsel, Tara M. Corvo of the Mintz law firm, on July
22, 2020.5/
2. AMCN
distributing video programming content for sale to MVPDs and other distribution services and
platforms, as defined in 47 C.F.R. § 76.1300(e).6/ AMCN owns and operates the following
domestic linear programming networks and SVOD products: AMC; AMC+; BBC America
(through a joint venture); IFC; Sundance TV; WEtv; WEtv+; IFC Films; Acorn TV; Cocina On;

TNT (which is similarly situated to and competes with AMC) and HBO (which is similarly situated
14. Analysts predicted that the $85 billion AT&T and Time Warner merger would lead
“to a troubling level of consolidation among already big business and potentially eliminate what
few independent [media] players remain.”15/ The United States Department of Justice had similar
concerns and filed the Civil Antitrust Litigation seeking to block AT&T’s acquisition of Time
Warner.16/ The Department of Justice argued that AT&T’s acquisition of the plethora of Time
Warner’s programming networks, including TNT and HBO, would substantially lessen
competition, hinder Time Warner’s programming rivals, and slow the video programming
industry’s transition to new video distribution models that provide greater choice for customers.17/
15. AT&T successfully defended its acquisition in part on the basis that the
Commission’s carriage rules were sufficiently robust to prevent AT&T from favoring its own
affiliated networks over unaffiliated networks, which is exactly the circumstance that is being

business. And these rules take care of any kind of pricing abuse of
the sort alleged by the government.18/
16. In addition, AT&T argued throughout the litigation that it is critical for networks
to have the ability to offer programming through a broad array of distributors – both traditional
MVPDs and new online platforms and services, as well as keeping DTC options open – in light of
the changing competitive video programming landscape.19/ AT&T even argued that this was the
purpose of the acquisition from Time Warner’s perspective, because Time Warner needed to be
on AMC and AMC+ as a condition of carriage, even though AT&T’s similarly situated networks
are not subject to any similar restrictions. The harm that this will cause AMC is apparent from
AT&T’s own statements during the Civil Antitrust Litigation, in which AT&T explained the
[C]ompanies, like Google and Facebook and Amazon and Hulu and
Netflix . . . . are running away with the industry, Your Honor. They
have radically transformed it. And they are directly competing with
the distributors you’re going to hear in this case, the programmers
you're going to hear in this case. They're all a part of the same
business. . . . And if you’re not trying to keep up with these people,
you're not going to be in business very long.
. . .
[T]his is one of the drivers of acquiring Time Warner: In order to
take the content which has been generally available throughout
the traditional pay-TV system and take that mobile so that anybody
with their cell phone or their iPad or some tablet can watch
television, whether it's a single show, whether it's a live channel,

wherever they are, however they want it. . . . And that’s what’s
driving this transaction.
. . .
In the middle there is the network, Turner, and other networks
situated just like Turner. They’re a trapped wholesaler. And it
worked for years. It was fine. But the world has changed. It’s a
brave, new world. And you can’t be a trapped wholesaler
anymore.21/
18. Finally, AT&T acknowledged during the Civil Antitrust Litigation that AMC was
a primary competitor to HBO. Specifically, AT&T stated that “HBO competes not only with
several other premium networks (including Showtime and The Movie Channel, owned by CBS,
and Starz, owned by Lionsgate), but also with other cable networks (such as FX, A&E, and
AMC), as well as online distributors such as Netflix and Amazon.”22/ Consequently, there can be
no doubt that AMC and HBO are competitors and that AT&T’s discriminatory treatment of AMC
and AMC+ on the basis of its non-affiliated status will serve to benefit AT&T’s affiliated
networks, including HBO and TNT, to the detriment of AMC and AMC+.
i. The Networks
19. AMC is AMCN’s flagship programming network that was launched in 1984. It is
usually distributes AMC on its popular “expanded basic” tier. AMC’s long-time advertising
tagline is “Premium on Cable” and the network is well-recognized as on par with premium
networks such as HBO with respect to the caliber of scripted high-end original programming
series.

20. AMC’s history includes continued success in various award categories, including
in outstanding drama. In particular, AMC’s Mad Men made history when it became the first basic
cable series ever to win an Emmy for Outstanding Drama Series in four consecutive years.23/
Overall, Mad Men was nominated for 116 Emmy awards and won 16.24/ AMC’s other critically-
acclaimed award-winning shows include Breaking Bad (58 Emmy nominations and 16 Emmy
awards),25/ The Walking Dead (16 Emmy nominations and 2 Emmy awards),26/ and Killing Eve
21. AMC also airs classic films and blockbuster hits such as Ghost, Home Alone, Top
presently offered a la carte, along with complementary on demand content, to video and
broadband subscribers of Comcast, DISH, and SlingTV.29/ The content offered on AMC+ includes

selections from AMC’s premier original programming as well as top titles from AMCN’s other
networks and products, such as IFC Films Unlimited, Sundance and Shudder.30/ AMCN is deep in
24. HBO is a premium linear programming network which also offers on-demand
content to subscribers. It is well-known for offering award-winning original scripted dramas that
compete with AMC’s scripted dramas,31/ such as The Sopranos (112 Emmy nominations and 21
Emmy awards),32/ Game of Thrones (160 Emmy nominations and 59 Emmy awards),33/ and
Westworld (43 Emmy nominations and 9 Emmy awards).34/ As of December 31, 2019, HBO had
network that includes original and acquired series and movies among its offerings. Its high-end
scripted content includes The Alienist (6 Emmy nominations and 1 Emmy award) and
Snowpiercer. TNT’s library of acquired movies includes classics and contemporary blockbusters
as Saving Private Ryan, Star Trek, Avengers, The Book of Eli, and The Longest Yard.36/ As of

26. The video programming distribution industry today includes myriad new players
beyond traditional broadcast and cable networks – online video distributors such as YouTube TV
and Hulu with Live TV, online subscription video on demand services such as Netflix, and online
technology platforms such as Roku, Apple TV and Amazon. Each is researching new ways to
offer more personalized viewing experiences to attract and retain viewers. One main means of
competing is to offer the best possible cutting-edge content. With so many new players competing
for rights to the best content, the video programming industry is engulfed in an ongoing “war” for
content rights.38/
27. As one of the nation’s truly independent programmers, AMCN’s networks face
unique challenges in maintaining access to the top content that distinguishes their programming
line-ups. Its networks are forced to compete with the numerous networks affiliated with MVPDs,
which often have access to greater resources, as well as networks affiliated with major film studios
or sports teams, which are able to obtain preferential licensing arrangements for popular movies
28. Another significant challenge is that because of the increased competition for
content, content costs are on the rise, with numerous trade press articles reporting on the increased
cost that programmers must pay to acquire rights to develop high-quality content.40/ The costs of

purchasing and producing quality content that attracts viewers is the single largest cost of operation

their programming from all distributors, regardless of their size, market concentration or
affiliation.
30. The video programming market has evolved since AMCN and AT&T last executed
an affiliation agreement on terms which reflected the video programming market at the time. In
particular, there have been marked advancements in the types and quality of content, along with
modes of exhibition and distribution.41/ In recent years, most programming networks have
recognized the importance of distributing through innovative new online distribution services and
platforms to strengthen their linear television networks, and some have begun to experiment with
offering video programming DTC, to stay relevant to and compete for a savvy audience that is
turning to streaming platforms and other methods of distribution for video content in increasing

services. Those are subscription on-demand services, where you cannot get a live channel, but you can get
a show you want and you can binge it and you can watch 10 or 20 in a row, all weekend if you want. This

while most of FX’s new series are premiering on Hulu
first. . . . [T]he streaming world is where viewers – particularly the
younger ones – are flocking, and this year’s ranker of most-watched

provide content through a variety of online platforms and services. These attract new viewers, and
also drive some viewers back to the linear television network, where they find other similar content
that they enjoy. AT&T is no different with regard to its plans for its affiliated networks. In
particular, earlier this year, AT&T stated that it would focus on HBO Max – which launched on
May 27, 2020 – to “capitalize on our premier network, technology and distribution capabilities to
provide our premier content in this unique offering.”49/ AT&T’s CEO, John Stankey, subsequently
stated on a July 23, 2020 earnings call that HBO Max “is available to consumers through nearly
every content distributor in the United States” and that AT&T has “tried repeatedly to make HBO
Max available to all customers using Amazon Fire devices, including those customers that have
purchased HBO via Amazon.”50/ Stankey then complained, without a hint of irony, that
“[u]nfortunately, Amazon has taken an approach of treating HBO Max and its customers
differently on how they’ve chosen to treat other services and their customers.”51/ Even so, Stankey
noted that AT&T has “agreements in place with, among others, Apple TV and Google Chromecast

with respect to directors, from 2015 through 2019, HBO had 12 nominations for Outstanding
Directing for a Drama Series, with directors on HBO and AMC shows competing against each

features AMC programming) and HBO compete directly against each other in the high-end,

2016, TNT rebranded and incorporated the tagline, “TNT Drama. Boom” to reflect “the kind of
powerful emotional moments that make for great drama, moments that can be found in such TNT
hits as Falling Skies, Rizzoli & Isles and Major Crimes; this summer’s new dramas The Last Ship,
Legends, Murder in the First; the recently announced series Public Morals, Proof and The
Librarians.”92/ The purpose of this new tagline was to make it clear to viewers that TNT delivers

78. The second prong of the Commission’s program carriage discrimination test asks
whether the MVPD is treating the unaffiliated network less favorably than its similarly-situated
affiliated networks because of affiliation.129/ There can be no doubt of that treatment in this case.
AT&T’s treatment of its affiliated networks stands in stark contrast to its treatment of AMC and
AMC+. That this difference in treatment is due to a lack of affiliation – and AT&T’s desire to
promote the development of its own networks while stifling that of their competitors – could not
be plainer.
i. AT&T treats its own networks very differently from how it seeks to treat
AMCN and AMC+
79. AT&T Funds Its Networks Fully and Demands that Other Distributors Do the

MVPD would do everything possible to enable AMC to continue to attract new viewers and to
produce new and excellent content. In the absence of anticompetitive intent, it would make no
business or economic sense whatsoever to cut off the lifeline of the network by preventing it from

betrays the credibility of their argument: if AT&T believes that AMC and AMC+ have the power
to draw subscribers to its video service offering, thus justifying its attempt to {{
}}, then it must recognize that value when negotiating license fees for
linear carriage.
102. It makes no business sense for AT&T to hinder the development of networks on
which it depends to attract and retain subscribers, unless AT&T’s actions are designed and
intended to give its affiliated networks a substantial competitive edge in the marketplace. While
networks to have the widest possible distribution. This disparate treatment will benefit HBO and
TNT tremendously – in terms of less competition for content (driving prices down), less
competition for viewers, and a greater opportunity to gain substantial early leverage in the online
video marketplace. These financial incentives are precisely the kind proscribed by Section 616.

103. As the final prong of the Commission’s discrimination analysis, the complainant
must show that the differential treatment “has the effect of unreasonably restraining the ability of
“expansive interpretation,” in furtherance of the policy underlying Section 616 and the “concern[s]
about the incentive and ability of vertically-integrated MVPDs . . . to favor their affiliated
programming services . . . .”178/ Here, AMC and AMC+ do not need show that, “without carriage,

111. Fifth, the launch of a new network like AMC+ is an especially critical time to build
subscribers, reputation and “buzz.” If AMC+ is unable to attract sufficient viewership because it
would deprive AMC and AMC+ of a “first to market” opportunity to attract subscribers, and so
would benefit HBO and TNT, who could capture subscribers looking for similar channels.
112. Finally, federal media policy has long recognized the importance of promoting
diverse viewpoints, even well before Congress identified the promotion of diversity of views and
information as one of the main purposes of the 1992 Cable Act.184/ As some of the few remaining
independent programmers, AMC and AMC+ add a unique and innovative voice to the channel
line-up that should be protected. AT&T’s actions are threatening AMC and AMC+ with the loss
of that voice.
113. Each of these harms hinders AMC and AMC+’s ability to compete fairly in the
marketplace. As acquiring high-end content becomes more expensive and the battle to obtain it
more competitive,185/ and as more and more Americans watch video over multiple platforms,186/

114. The fundamental facts set forth in this Complaint are indisputable. There can be
no legitimate disagreement as to whether AMC and AMC+ are similarly situated to HBO and
TNT, or whether AT&T is treating its own affiliated networks differently from AMC and AMC+
on no basis other than non-affiliation. It would be advantageous for AT&T’s affiliated networks
for AMC and AMC+ to be severely impaired in their ability to compete. The Media Bureau should
not let this happen and should grant the request for relief based on the pleadings.
115. Because AMCN has established that AT&T violated Section 616 of the
Communications Act of 1934, as amended, and the Commission’s program carriage rules, by
attempting to discriminate against AMC and AMC+ in the rates, terms and conditions of
carriage, the Media Bureau should order AT&T to carry AMC and AMC+ on fair, reasonable
and nondiscriminatory rates, terms and conditions, and should further bar AT&T from imposing
permissible forfeiture on AT&T for violation of Section 616 and the Commission’s rules.
116. If AT&T seeks Commission review of the Media Bureau’s order requiring non-
discriminatory carriage of AMC, AT&T should be required, at AMCN’s option, to carry AMC
and AMC+ on the terms ordered by the Media Bureau for an additional period equal to the time

pleadings, it should expedite resolution of this dispute by making all factual and legal findings
that can be made without a hearing and designating for hearing only the limited issues that

We are writing on behalf of our client, AMC Networks Inc. (“AMC”), to bring your
attention to AT&T’s discriminatory behavior in the ongoing negotiations between AMC and
AT&T Services, Inc. and DIRECTV, LLC (collectively, “AT&T”) to renew the parties’
affiliation agreements that are set to expire August 31, 2020.
Section 616 of the Communications Act of 1934, as amended, and the rules and
regulations of the Federal Communications Commission (“FCC”), prohibit vertically integrated
distributors such as AT&T from discriminating against unaffiliated programmers on the basis of
affiliation in the rates, terms and conditions of carriage in a manner that restrains the ability of an
unaffiliated programming vendor to compete. AT&T’s current carriage offer fails to meet these
required standards.
Specifically, by both insisting on drastic fee reductions for AMC’s networks and barring
AMC from distributing its networks either directly to consumers or by making them widely
available through online video platforms, AT&T is interfering with AMC’s ability to generate
revenue and remain relevant to today’s consumers. These terms would reduce AMC’s ability to
invest in the quality content that distinguishes AMC’s networks in the marketplace and to
continue to attract and retain viewers. Given that AT&T does not impose these restrictions on its
own networks, such behavior is a flagrant attempt to give AT&T’s own networks a competitive
advantage over AMC’s networks. Because AMC’s flagship network, AMC Network (“AMCN”)
and its newest offering, AMC+, compete for content and viewers directly with AT&T’s similarly
situated network HBO, and AMCN competes for content, advertising, and viewers with AT&T’s
similarly situated network, TNT, AT&T’s carriage offer cannot survive program carriage
scrutiny.

(AT&T)) (“The time-and-attention competition now from the likes of Facebook, from the likes
of Google, from the likes of Netflix, they’re distracting people from other things they used to do.
And somehow, we have to build products that continue to command customers’ time and
attention. That’s the battle here.”). This trend is likely to continue, as the tech giants focus more
and more on premium video to drive engagement. See Tr. 3387:25-3388:3 (Stephenson
(AT&T)) (“The one area that drives engagement like no place else . . . is premium content.

premium video.”).

(Stankey (AT&T)) (discussing the “inflection change” where the “decline of the traditional pay-
TV bundle started faster than [AT&T] assumed”); Tr. 3004:6-7 (Christopher (AT&T)) (“In 2016,
our traditional video business lost 133,000 customers.”). For this reason, it is unsurprising that
AT&T has been concerned that it is not receiving rights to innovative features like split-screen

paid for what we were doing.”). The majority of MVPD subscribers—more than two-thirds—do
not subscribe to HBO. See Tr. 1529:16-17 (Patel (AT&T)) (reporting 30% penetration
nationally); Tr. 3073:22-23 (Bewkes (Time Warner)) (“I think the national average is in the 30,

Netflix “as a competitor to HBO and a substitute for HBO” because it “is another offering that

executive Simon Sutton testified, “There was a time when very few people were making the kind
of shows we make. Now, it seems that almost every week, there’s an announcement of
somebody else making it.” Tr. 1494:16-18; see also DX709.0003 ([REDACTED]).
298. The government does not argue that the merged firm would have an incentive to
withhold HBO from either MVPDs or virtual MVPDs or that the merger would produce any
incentive to raise prices for the service. See Tr. 2290:15-23 (Shapiro). Instead, it has alleged
narrowly that the merged company will gain the incentive and ability to prevent rival distributors
from using HBO as a promotional tool to attract and retain subscribers and that such conduct will
