Introduction
This Statement of Work ("SOW"), adopts and incorporates by reference the terms and conditions of the
Consulting Subcontractor Agreement (“Agreement”) between Epicor Software Corporation. (“Epicor”) and
[Consultant Name Here] (“Consultant”) dated __________ 2006. Transactions performed under this SOW
will be conducted in accordance with and be subject to the terms and conditions of this SOW, the
Agreement and any applicable Addendums.

Scope of Work
Define what type of work Consultant will be doing. If lengthy would prefer separate pages.

Service Deliverables
Define Deliverables i.e. documentation (media or written), the end product (interface with an Consultant and
Epicor Application), status reports (weekly, monthly etc). If lengthy would prefer separate pages.

Note to Personnel preparing SOW: Each deliverable which involves a customization or

modification to Software must be described in detail herein and must also describe who shall
ultimately have ownership rights to such customization or modification as between Epicor and
Consultant. Reference to section 9.1 of the Agreement is advised. IN ORDER FOR THIS SECTION
OF THE SOW TO BE VALID AND ENFORCEABLE, THIS SECTION MUST BE SPECIFICALLY SIGNED
OFF ON BY AUTHORIZED REPRESENTATIVES OF EPICOR’S LEGAL DEPARTMENT AND
CONSULTANT’S AUTHROIZED REPRESENTATIVE

Change Control Procedures

Both parties agree that the sum of any Charges associated with any Change Authorizations to this
Statement of Work will not exceed __% of the above-quoted estimated funding requirement. Additional
Services in excess of this amount, if any, will be offered in a separate Statement of Work.

SERVICE AUTHORITY SIGNATURES:

Consultant and Epicor hereby agree to the above SOW. Epicor agrees to pay Consultant for this service
according to the costs identified in Cost of Service section of this document and governed by the Agreement
between Consultant and Epicor.

Consultant will schedule work following receipt of a copy of this Statement of Work with an authorizing
signature.

By signing this Statement of Work, Consultant and Epicor represent that they have obtained any necessary
internal authorization for all charges due under this Statement of Work, including Purchase Order
authorization.
