Dear Ms. Blackburn:

With this letter I enclose the following portion of a solicited proposal which Shockey
P3, LLC submits to Montgomery County School Board (School Board) pursuant to the
Virginia Public-Private Education Facilities and Infrastructure Act of 2002 (“PPEA”) and
the PPEA Guidelines adopted by the Authority:

• Section 1, item d., which includes Howard Shockey & Sons, Inc.’s 2010
financial statement.
• Section 2, item a., which describes the project.
• Section 2, item b., which describes work to be performed by the County.
• Section 2, items f. and i, which includes our proposed schedule for the
project.
• Section 2, item j., which list assumptions relied on for the success of the
project.
• Section 2, item k., which describes the proposed contingencies for the
project.
• Section 3, items a. through g., which details our proposed cost of the project
and possible financing.

We plan for these sections to be part of Shockey P3, LLC’s proposal, but we believe
these records and materials are excluded from the provisions of the Virginia Freedom of
Information Act (“FOIA”). Accordingly, we ask that the School Board agree to accept
these materials in confidence, exclude them from public inspection and release, and take
appropriate action to protect them from disclosure. This request is made pursuant to

and in accordance with Subsection 56-575.4(G) of the PPEA, the School Board’s PPEA
Guidelines, and Subdivision 11 of Section 2.2-3705.6 of FOIA.

Protection of these records is necessary because they constitute at least one of the
following: (i) trade secrets of the proposer as defined in the Uniform Trade Secrets Act
(§59.1-336 et seq.); (ii) financial records of the proposer that are not generally available
to the public through regulatory disclosure or otherwise; and (iii) records related to the
proposal that, if made public prior to the execution of an interim agreement or a
comprehensive agreement, would adversely affect the financial interests or the
bargaining position of either Shockey P3, LLC or the School Board.

As you will see, each page of information for which protection is sought is marked with
an appropriate designation.

If the terms of this request are acceptable to the School Board, I ask that you
acknowledge this consent in writing. For your convenience, I enclose a form letter
which you may wish to use for this purpose.

Qualifications and Experience

d. Provide a current or most recently audited financial statement of the firm or

firms and each partner with an equity interest of twenty percent or greater.

Financial statements are included in a sealed envelope enclosed with this proposal
(which has been deemed proprietary and confidential not releasable under VFOIA) for
Howard Shockey & Sons, Inc., the general contractor on the project.

Howard Shockey & Sons, Inc. (as the member company of Shockey P3, LLC) is the only
partner with equity interest in the proposed project.
