d Power Authority ("LIPA"), the third largest municipally owned electric utility
in the country, before the Federal Energy Regulatory Commission ("FERC"). Supe
rvised and worked with outside counsel on issues involving the NYISO, PJM and IS
O-NE and on pleadings and briefs filed with FERC. Negotiate contracts, includin
g the Smart Grid sub-award agreement between the NYISO and the New York electric
utilities and ISDA master agreements. Worked with outside counsel to provide g
eneral legal advice on the tolling agreement and fuel management agreement betwe

Compliance
Provided legal advice to and represented regulated public utility before various
state regulatory agencies (primarily the New Jersey Board of Public Utilities)
in complex multiparty litigation to obtain approvals critical to company's busin
ess direction. Drafted and prepared regulatory filings. Also defended regulate

* Working with various business units to obtain regulatory approval of the affil
iate rules compliance plan; the exchange of environmentally contaminated manufac
tured gas plant sites by New Jersey Natural Gas Company and Jersey Central Power
& Light Company so that each utility would own solely certain sites that they f
ormerly owned jointly; and the spinout of the utility appliance service business
into separate unregulated subsidiary; and
* Settling four-year regulatory litigation with the New Jersey Department of Com
munity Affairs (NJDCA) that clearly delineated the jurisdictional responsibiliti
es of utilities in the State of New Jersey as regulated by the New Jersey Board
of Public Utilities and the NJDCA.
Contracts
Managed contracts process. Successfully negotiated routine and complex commerci
al contracts across an array of disciplines within tight time frames, including
wholesale natural gas purchase and sale and energy trading contracts and support
ing credit documents; computer contracts (software development, software impleme
ntation, license and maintenance); distribution and transmission pipeline and pl
ant construction contracts; equipment lease and maintenance contracts; financial
leases and services contracts; consulting contracts; service contracts, includi
ng environmental waste disposal contracts; real estate leases, including a real
estate construction lease, and real estate sale and exchange contracts; letters
of intent; notices to proceed; non-disclosure agreements; and changes to the Com
pany's standard purchase order form. Also worked closely with in-house attorney
responsible for civil litigation and risk management to ensure that such issues
were addressed in all contracts. Negotiated 200 to 400 contract documents annu
ally.
Major accomplishments include successfully negotiating and monitoring the follow
ing contracts:
* Contract for natural gas service with the United States military which involve
d the construction of a twelve mile distribution main along a route partially li
ttered with unexploded bombs and all underlying contracts with various third par
ty vendors;
* Multimillion construction contract to obtain new liquefied natural gas plant f
acilities, which included a new building and installation of state of the art bo
ilers;
* Numerous multimillion-dollar computer contracts within tight time frames to ca
pture significant price discounts spread over meaningful milestones and project
schedules;
* Unique contract with developer to permit developer to pursue the cheaper alter
native of retaining a third party contractor to install natural gas facilities i
nstead of the utility; and
* Numerous wholesale natural gas purchase and sale (NAESBs, GISBs and custom) an
d energy trading (ISDAs) contracts and supporting credit documents (credit suppo
rt annexes, letters of credit and guaranties) on a priority basis.
Investigations, Outside Counsel, Policies and Procedures
Worked closely with Human Resources, the General Counsel and the business unit t
o investigate alleged employee violations of the company code of conduct. Docum
ented the investigative process and maintained investigation procedures. Drafte
d witness statements and reports. Made recommendations to Human Resources and th
e General Counsel. Supervised outside counsel in civil litigation and transacti
onal matters involving environmental law, employment law, various federal and st
ate regulatory issues, intellectual property law, tax law, bankruptcy law and th
