This Memorandum of Agreement, entered into by and between: LYCEUM OF THE PHILIPPINES UNIVERSITY - COLLEGE OF ____________, an educational institution duly organized and operating under and by virtue of the laws of the Philippines, with offices, facilities and campus located at Muralla Street, Intramuros, Manila, represented in this agreement by the Dean of the College of _______________, hereinafter referred to as the FIRST PARTY;

- and ______________________________________________________________________ with principal office located at ___________________________________________________, represented in this act by its, _______________, Mr./Ms. _______________________, hereinafter referred to as the "SECOND PARTY".

WITNESSETH:
WHEREAS, the FIRST PARTY offers academic programs in Liberal Arts and Sciences. As component of its curriculum, students are required to undergo practical training by attending work-related activities in offices of government entities, business establishment, or corporation engaged in business, services, calling, profession, activity, or, operation related to or has connection with the students chosen field of study; WHEREAS, the SECOND PARTY is in need of on-the-job-trainees who will assist and support its officers and employees in their daily tasks, and the FIRST PARTY has students who are qualified and willing to perform such task; WHEREAS, the parties herein have agreed that the FIRST PARTY shall provide the SECOND PARTY with on the job-trainees, (hereinafter referred to as the TRAINEES) who will assist the SECOND PARTY in its daily operation; NOW, THEREFORE, let it be remembered, that the parties hereto have hereunto agreed on the following: 1. This agreement shall be valid and binding upon the parties for a period of one (1) year, i.e. from _______________ to _________________. Either party may pre-terminate this agreement by a written notice to the other party at least thirty (30) days prior to the intended date of termination. No renewal of this agreement shall become effective unless reduced in writing;

Prior to the commencement of training by the TRAINEES, the FIRST PARTY shall provide the SECOND PARTY with a letter-communication containing, among others: a.The names of proposed TRAINEES; b.Bio-data of the proposed TRAINEES; c.Their particular field of study and recommendation as to their assignments; d. The number of hours required to be rendered by the TRAINEE; and e. Proposed schedule of the TRAINEES;

Upon receipt of the said letter communication, the SECOND PARTY shall, within three (3) days, make a written reply to the FIRST PARTY, which reply shall contain the SECOND PARTY's acceptance, objection, modification, revision to the proposal should there be any. Failure on the part of the SECOND PARTY to make any reply shall be deemed an acceptance of the proposal; The SECOND PARTY may also submit a proposal to the FIRST PARTY as to its requirements of TRAINEES, stating in the proposal the number, proposed schedule, particular field of study, and qualifications of TRAINEES. The FIRST PARTY shall, within three (3) days from receipt of such proposal, make a written reply to the SECOND PARTY. It is understood that proposals or request of trainees or acceptance thereof under this agreement shall be in writing otherwise, it shall not be binding; It is understood that the TRAINEES voluntarily agreed to assist the SECOND PARTY in the conduct of its business. The FIRST PARTY hereby relieves the SECOND PARTY from any liability, whatsoever, for damages that may be sustained by the TRAINEE without the fault or negligence of the SECOND PARTY; It shall be discretionary on the part of the SECOND PARTY whether or not to extend or give any remuneration, training fee, or allowance to the TRAINEES. The SECOND PARTY has no monetary obligation, whatsoever, to the FIRST PARTY or to the TRAINESS under this agreement; It is further understood that the TRAINEES have no actual experience in the task that the SECOND PARTY may assign to them. Hence, the TRAINEES shall be under the direct control and supervision of the SECOND PARTY while undergoing training in its premises. The FIRST PARTY shall not be liable to the SECOND PARTY for any kind of damage that may be caused by the TRAINEES to the SECOND PARTY due to the TRAINEES' inexperience or negligence;
