USED VEHICLE PURCHASE CONTRACT

In the municipality of __________________________________,

State of San Luis Potosí at _______ of ____________ of ________,
being present the (the) C. _______________________________
_________________, hereinafter referred to as "THE SELLER" for
the purposes of this contract, and on the other hand, the C.
____________________________________________________,
hereinafter referred to as "THE PURCHASER", who, in agreement,
agree to enter into this purchase and sale agreement in accordance
with the following:

STATEMENTS

FIRST.- "THE SELLER" is the current owner of the vehicle

______________________ model year ______________, serial
number _______________________, according to invoice number
____________ issued by
______________________________________________________.

SECOND.- Both parties represent and acknowledge that they have

the legal capacity to enter into this agreement.

In view of the foregoing, it is the desire and will of the contracting

parties to enter into this contract subject to the following terms and
conditions:

CLAUSES
FIRST.- "THE PURCHASER" declares its conformity with the
physical and mechanical conditions in which the vehicle is found at
the moment of the purchase-sale operation, therefore, as of the date
of delivery of the vehicle object of this contract, the flaws that may
arise thereafter shall not give rise to any claim whatsoever.

SECOND.- The purchase price of the vehicle is

THIRD.- "THE BUYER", declares its acceptance in the value of the

vehicle, and "THE SELLER" the form of payment expressed in the
previous clause.

FOURTH.- "THE SELLER" declares that the vehicle object of the

present contract is deregistered, free of liens and current in the
payment of the Tax on Vehicle Ownership or Use. In any case "THE
PURCHASER" shall be jointly and severally obliged to cover the
obligations resulting prior to the date of sale of the vehicle.

FIFTH.- "THE VENDOR" agrees to deliver the vehicle on _______

of _________ of ___________________________.

SIXTH.- "THE SELLER" on the occasion of the execution of this

contract assigns the rights derived from the acquisition of the vehicle
______________________ model year ______________, serial
number ________________________, to "THE BUYER" in all that
in fact and by right corresponds to it, and the latter acquires the
inherent obligations.

SEVENTH.-"THE PURCHASER", from the date of delivery of the

vehicle, shall be responsible for keeping up to date the taxes and
vehicle control rights accrued by the same.
EIGHTH.- "THE SELLER" disclaims any civil or criminal liability
that may result from the use, handling or operation of the vehicle
subject of this contract from the date of delivery of the same within
the established term.

NINTH.- Both parties declare that in the execution of this

agreement, there is no error, fraud, violence or bad faith that could
invalidate it.

After reading the contents of this contract, the parties agree to be

bound in all its terms and conditions, which constitute a complete
and exclusive expression of their will free of any defect and sign it
in conformity in two copies in the municipality of
_______________ of the State of San Luis Potosi.
