OCC Director Workshops

Mastering the Basics
A Directors Challenge
The success and even some failures of financial institutions can often be attributed to the effectiveness or ineffectiveness of their directors. A broad knowledge of the financial services industry and the confidence to ask questions of management, auditors, and examiners will best enable directors to fulfill their duties and responsibilities successfully. This workshop combines lectures, discussions, and exercises designed specifically for directors of national community banks and federal savings associations. Discussion topics include: OCC structure and communication channels for directors Roles of the board and management Board committees and best practices Significant board activities, including compensation and succession planning CAMELS, specialty ratings, and composite ratings Report of Examinationyour blueprint for action Managing risk with board reports

Safe and sound banking requires good directorsmen and women with a sense of responsibility, curiosity, and competence. It also takes skills and knowledge specific to the business of banking. This workshop provides a solid foundation for success in this critical role.
Jennifer Kelly, Senior Deputy Comptroller for Midsize/Community Bank Supervision

You will interact with instructors who are experienced examiners from the OCC. They are seasoned professionals who regularly assess risk management systems and meet with senior managers and directors to discuss their findings and evaluations. They will share their experiences to help you improve your knowledge and skills. Enrollment is limited to 35 directors per workshop to allow open and targeted dialogue. Pre-course reading materials will be provided to enhance your workshop experience.

Who Should Attend

This workshop is geared primarily to outside directors of national community banks and federal savings associations that have assets less than $1 billion.
