Dear Jonathan,

Thank you again for the NeoPharm RFP which we received last week. We are pleased to provide you with
this attached proposal for NeoPharm to occupy mixed office and laboratory space in this world-class facility.
As discussed, we are able to deliver approximately 12,445 for occupancy commencing January 1st, 2008 or
shortly thereafter.

As you know the Excellerant project we have been developing at the Mundelein site has generated
considerable interest among government, business and academic leaders in the greater Chicago area and
indeed nationally. Our mandate is to create a nationally recognized life sciences accelerator which combines
an extremely high-end research facility, with an experienced, full-service in-house CRO, and top-notch shared
business services support all in a dynamic environment supporting rapid and efficient development among
startup and development-stage life sciences companies.

The economics of any deal is important but in addition, we seek tenants who we feel will be a great fit for the
facility. Indeed, our preliminary assessment is that NeoPharm would be an ideal anchor tenant for what will
be a very high profile and prominent facility with exposure nationwide to the academic, biopharmaceutical,
government and investment communities.

This proposal is roughly split into three parts.

1. A description of the Excellerant Life Sciences Accelerator and the facility

2. Specific discussion of the proposed space plans and value proposition for NeoPharm

3. The specifics (in bullet-form) of our proposal including proposed lease terms, space
allocation, etc.

Please note that as stipulated in your RFP, final terms will depend, of course, on execution of a negotiated

About The Excellerant Life Sciences Accelerator

Excellerant aims to be the world’s leading Life Sciences Accelerator whose mission is to help
bridge the Innovation Gap and bring life-saving life sciences technologies faster to market.
The Excellerant Life Sciences Accelerator combines three basic elements to create a truly unique
environment for development-stage life sciences companies to grow and thrive. These include:

1. Excellerant Real Estate – a world-class laboratory and associated office space facility with
virtually no bounds on the range and scope of experiments that can be performed,

2. Excellerant Research - a full-service contract research organization (CRO)

3. Excellerant Management - a well-connected, committed management company that


assists it’s tenant companies – to the extent necessary – with providing shared business
services, a stimulating academic environment and access to other business and investment
resources.

Obviously, for the purposes of this RFP the main focus is on the building.

This single-story building is approximately 70,000 sf with 63,400 under heat and air and the rest
closed docks. Ample employee and visitor parking spaces are also included and the total land space
(included) is 130,680 sf. A satellite photo of the building and floor plan are shown below.

The building and accompanying infrastructure is extensively built out for chemical, biological
microbiological and/or pharmaceutical work with 35 separate air handling systems, over 40 separate
labs, heavy duty ventilation, heating, electrical, back-up generators, clean rooms (class 100, 1000 and
10,000). The building was also structurally engineered for a possible 2 nd floor expansion. Extensive
conference room space, office space, educational spaces, etc. are also included. The building is
located in Mundelein, Illinois with good access to transportation (two miles west of IL-60) and
O’Hare International Airport.

Total rentable space is approximately 37,600 sf of which half is roughly office space and the other

All spaces come fully furnished with high-end office furniture and top-of-the line laboratory fixtures.
The estimated replacement value of the laboratory fixtures alone (table tops, etc.) is $789,000.

Common spaces
A full range of common spaces are included include

 small and large conference rooms (in addition to whatever the tenant builds out in their
own space)
 dining facility (900 sf)
 fully equipped exercise facility (800 sf)
 trade show staging room and/or large conference space (3,400 sf)
 covered dock (6,600) and adjoining receiving warehouse space
 Shared use (on a rental basis) large incubator rooms

All common areas are included in the gross rental fee and are available on a “sign-up” basis with the
management company although an anchor tenant such as NeoPharm can receive priority scheduling
for such space. Large walk-in incubator use would constitute an additional charge as with all other
high-end equipment rentals. The facility includes an onsite cooled server room which has high-end
T1 access and can accommodate additional equipment per tenant needs.

Overall Proposed Space Plan for NeoPharm


Based on prior visits by the NeoPharm team and the RFP presented by Studley, a specific section of
the facility has been identified that optimally fit’s NeoPharm’s current needs. Obviously, since
nearly 38,000 sf is available, there is room for ample expansion. Even if the facility is fully occupied
by incubator (startup) tenants, these leases are typically short at 6 months to one year so that will be
ample opportunity to accommodate growth even in the context of full occupancy.

Other terms

 If commencing January 1st , 2008, then the first two months are charged at ½ gross rent
 Rent converts to full gross lease on March 1st , 2008 as quoted.

As per the RFP request, any terms and conditions referenced above shall not be binding upon
Landlord or Tenant until a lease agreement and related documents have been fully executed by both
Landlord and Tenant. Until such time neither party shall be contractually obligated to the other in
any way.

This RFP is valid through August 31 st, 2007. Both Aesis, Excellerant and Studley should be keep
this proposal except to the extent required to serve NeoPharm and NeoPharm only.
