A limited liability company name must contain the word " limited liability company," the abbreviation "L.L.C.," or "LLC". A limited liability company name must be distinguishable upon the record. To search the availability of the legal name of the limited liability company in the State of Alaska go to the Corporations section at http://www.commerce.state.ak.us/occ and Search Corporations Database. ARTICLE 2: The Purpose of the Limited Liability Company May include any lawful. ARTICLE 3: Registered Agent The Registered Agent of the limited liability company must have an address in Alaska. If the registered office mailing address is a post office box, the physical address of the registered office must be listed. A limited liability company shall continuously maintain in this state a registered agent and a registered office. The registered agent may be either an individual resident of this state whose business office is the same as the registered office, or a domestic or foreign corporation authorized to transact business in this state whose business office is the same as the registered office. A corporation may not act as its own Registered Agent. A limited liability company cannot be a registered agent. ARTICLE 4: Duration Duration is the length of time a corporation expects to exist. It may be perpetual or a specific future date (mm/dd/yyyy) of less than 100 years. ARTICLE 5: Management (select only one option) By Members: Members of a limited liability company manage the affairs and make decisions of the company. By Manager: Managers have the exclusive power to manage the affairs of the company to the extent authorized by the operating agreement. ARTICLE 6: Optional Provisions ARTICLE 7: Organizer(s) One or more persons may organize a limited liability company by signing articles of organization. A person who organizes a limited liability company may be a person who is not a member of the company when the company is organized or after the company is organized. The organizers ability to execute documents ends the moment the company is organized.
