executed by and among: ARTEMIO PARTOSA MACASAOL, JR., Filipino, residing at No. 3317, Mabuhay Street, Cardona Building, Baclaran. JANICE CARTERA TOLENTINO, Filipino, residing at Franville Ave,Quezon Ciy; All of legal age, witnesseth: 1. That they have formed a partnership among themselves under the name and style of ICONN JOB REFERRAL SERVICES; 2. That the purposes for which said partnership is formed are: To provide job assistance to able bodied young Filipino citizens male and female; to contract professional, technical, labor and services to business establishments, corporations, firms, companies, for a fee or compensation; others; 3. That the principal office of the partnership shall be located at Pasay-Taft Avenue, Rizal Commercial Banking Corp. (RCBC) Building, Metro Manila; 4. That it is hereby stipulated that the herein partners shall jointly manage the operation of the firm and they shall exercise such powers necessary to attain the purpose of this partnership, including, the power to draw drafts, bills of exchange and other negotiable instruments and accept the same for and in the name of the firm; to appoint and dismiss employees and to fix their tenure and compensation; to deposit money in banks and with the counter-signatures of the partners, withdraw the same for the purposes of the partnership, etc.; 5. That the term of existence of this partnership be ten (10) years from and after the execution of this articles, renewable for another ten (10) years if the partners decide to extend the term of the partnership. However, if one of the capitalist partner signify his intention in writing not to go on or renew the term of the partnership, it shall be dissolved and the same shall be terminated; 6. That the capital of the partnership shall be contributed by the partners as follows, to wit; Janice C. Tolentino P 15,000.00 Artemio P. Macasaol P 15,000.00 making a total Capital of THIRTY THOUSAND PESOS.P 30,000.00. 7. That the profits and losses shall be divided share and share alike among the partners in the partnership; 8. That the partners shall draw salary from the partnership in the amount of Pesos (P _________) every 15th& 30th day of the month per month;

9. That if during the term of the partnership any of the partners shall die, the partnership shall continue among the surviving partners, unless one of the latter shall expressly request for dissolution.
