CODE OF PROFESSIONAL CONDUCT & ETHICS

Objective: Engross & ensure a) Professionally correct conduct b) Sound ethical values among the FIRMs team. Definitions: The FIRM TGCL as an organisation, its partners, direct employees, sub-contractors and assignees directly involved with any assignment with a CLIENT. The CLIENT - The PROSPECT/CLIENT organisations & its employees. The term shall not cover the CLIENTs assignees, Sub-contractors, vendors normally. Scope: Engagement during the course of fulfilment of an assignment with a CLIENT whether onsite/off-site Engagement with a prospect, whether on-site/off-site. Confidentiality: The FIRM will treat CLIENT information as confidential and will not take personal advantage of privileged information gathered during an assignment, or enable others to do so. Any information sought from the CLIENT, shall be on a need to know basis only. Conduct: The FIRM shall maintain commensurate behaviour, decorum, and etiquette during on-site/off-site engagement with the CLIENT During On-site engagements: CLIENTs resources should be sought & utilised wisely on a need to use basis with due responsibility & care Promising Unrealistic Expectations: The FIRM will refrain from encouraging unrealistic expectations or promising CLIENT that benefits are certain from specific consulting services Commissions / Financial Interests: The FIRM will neither accept commissions, remuneration or other benefits from a third party in connection with recommendations to a CLIENT without the CLIENT's knowledge and consent, nor fail to disclose any financial interest in goods or services which form part of such recommendations Assignments: The FIRM will only accept assignments for which, the FIRM has the skill, knowledge and resource capability to deliver Conflicting Assignments: The FIRM will avoid acting simultaneously (in potentially conflicting situations) without Informing all parties in advance that this is intended Conferring with CLIENT: The FIRM will ensure that before accepting any engagement, a mutual understanding of the objectives, scope, work plan and fee arrangements is explicitly established and any personal, financial or other interests which might influence the conduct of the work are disclosed Recruiting: The FIRM will refrain from inviting an employee of a CLIENT to consider alternate employment without prior discussion with the CLIENT Approach: The FIRM will maintain a fully professional approach in all dealings with CLIENT, the general public and fellow members Code of Professional Conduct: The FIRM will ensure that external assignees carrying out work on The FIRMs behalf are conversant with and abide by the Code of Professional Conduct Decision Making: The FIRM shall in all normal conditions provide Decision Support Service & Decision implementation related services and not take decisions on behalf of the CLIENT. The FIRM shall not make any direct/related decision with regard to the assignment or any related matter for the CLIENT. To enable this, an explicit agreement in this regard is required to be executed between the CLIENT & the FIRM covering the consequences & its ownership
