ON-SITE VISITOR NON-DISCLOSURE AGREEMENT Use this form: for visitors coming on-site to Facebook, including guests, interviewees and other visitors. Thank you for visiting Facebook, Inc. which includes its directly or indirectly wholly-owned subsidiaries ("Facebook"). In order to allow you to have access to our premises, we require you to agree to the terms in this agreement. You may become aware of non-public information relating to Facebook and its products, services, programs, features, data, techniques, technology, code, ideas, inventions, research, testing, methods, procedures, know-how, trade secrets, business and financial information and other activities through disclosure, observation or otherwise in the course of your visit ("Facebook Confidential Information"). All Facebook Confidential Information remains the property of Facebook. You agree torso disclose any Facebook Confidential Information to any third party, and to take all reasonable precautions to prevent its unauthorized dissemination. You agree not to use any Facebook Confidential Information for any purpose. You will not reverse engineer, invert or otherwise attempt to reconstruct Farebook Confidential Information or any data, information or technology provided to you. Upon Facebook's written request, you will destroy or return to Facebook all Facebook Confidential Information in your control. FACEBOOK WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL SPECIAL INDIRECT OR INCIDENTAL DAMAGES ARISING OUT OF THIS AGREEMENT, WHETHER ARISING OUT OF CONTRACT OR TORT, INCLUDING NEGLIGENCE, WARRANTY, STRICT LIABILITY OR OTHERWISE, EVEN IF FACEBOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL FACEROOK'S AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT EXCEED FIFTY DOLLARS ($50). In the event that any of the provisions of this agreement shall be held illegal or unenforceable by a court of competent jurisdiction, such provisions shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect. This agreement shall be governed by the laws of the State of California and the United States without regard to conflicts of laws provisions thereof. Unless waived by Facebook in its sole discretion, the jurisdiction and venue for any action arising out of or relating to the subject matter of this agreement shall be the California state and United States federal courts located in Santa Clara County, California, and both parties hereby submit to the personal jurisdiction of such courts. The parties do not intend that any agency, partnership or exclusive relationship is created between the parties to this agreement. You hereby affirm that you are over the age of majority and have the right to contract In your own name. You have read the above authorization, release and agreement, prior to its execution and fully understand the contents thereof.
