TENANT PLACEMENT / MANAGEMENT AGREEMENT

And First Choice Rental (FCR), with the principal place of business located in the city of: 250 Commerce Valley. Richmond Hill, ON, L3T 7X3 This Agreement will become effective on __________, 2011 and will terminate no later than _________, 2011.
Services to be performed FCR agrees to perform the following services on Client's behalf. Search for a qualified tenant for Clients rental property Perform investigative services on prospective tenant that is found Present all data gathered through the investigative process to Client either verbally, by e-mail, or by fax. Provide quarterly inspection for the rental property Manage tenants for the term of the lease agreement F.C.R will make monthly rent payment to the client for the term of the lease.

______In consideration for the services to be performed by FCR, Client agrees to pay FCR a payment equal to 1 months rent after tenant is found and the first and last month is collected for the services rendered as described below:

Tenant Placement Package This package includes a personal FCR representative to search for Clients tenant, a background check, credit check, rental history check, employment verification, income verification and interviews with previous landlord of prospective tenant. FCR will find a tenant to occupy Clients property within a 30-day period. Once tenant is found and LMR is collected, FCR will pay the client with postdated cheques or direct deposit for the term of 11 months thereafter..

Property must be cleaned and in a condition to be shown to prospective tenants in order for the tenant placement process to begin. The contract date will begin when all of the following conditions are met: Keys have been given to FCR to have access to the property.

Independent Contractor Status

______FCR, his employees, agents and assigns are independent contractors, are not Client's employee(s). FCR and the Client agree to the following rights consistent with an independent contractor relationship:

FCR has the right to the following: o o o o Perform services for others during the term of this Agreement. Control and direct the means, manner and method by which the services required by this Agreement will be performed. Perform the services required by this agreement at any place, location or time. Hire assistants as subcontractors, or to use employees to provide the services required by this Agreement.

FCR will furnish all equipment and materials used to provide the services required by this agreement. The FCR or its employees or contract personnel shall perform the services required by this Agreement. Client shall not hire any other agent, property manager or any assistance to help the client find a tenant or manage the property while in agreement with FCR. FCR or its employees or contract personnel will devote full-time to performing the services required by this Agreement.

Confidentiality

______FCR will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information of Client without Client's prior written permission except to the extent necessary to perform services on Contractor's behalf. Proprietary or confidential information includes:

The written, printed, graphic or electronically recorded materials furnished by Client for FCR to use Business plans, customer lists, operating procedures, trade secrets, design formulas, know-how and processes, computer programs and inventories, discoveries and improvements of any kind information belonging to customers and suppliers of Client about whom FCR gained knowledge as a result of Contractor's services to Client. FCR shall not be restricted in using any material, which is publicly available, already in FCRs possession or known to FCR without restriction, or which, is rightfully obtained by FCR from sources other than Client. Upon termination of FCRs services to Client, or at Client's request, FCR shall deliver to Client all materials in FCRs possession relating to Client's business.

Liability

Client shall indemnify and hold FCR harmless from any loss or liability arising from the performance of the services under this agreement. FCR shall indemnify and hold Client harmless from any loss or liability arising from performing services under this agreement.

FCR shall provide all data gathered about the prospective tenant, present the data to Client in oral or written form, and allow Client to make the final decision regarding whether to accept or reject the tenant. If FCR fails to provide data gathered about tenant, and Client still allows the prospective tenant to move into their property, FCR still shall not be held liable for damages done to property, or any rental payments that are not made by selected tenant. After the selected tenant is accepted by client and moves into property, FCR will provide the client with postdated cheques or direct deposit. In the event the tenant vacates the property before the expiry of the lease term, FCR will find a new tenant for another 1 year lease term. FCR shall be responsible for drafting a lease agreement between the Client and his/her tenant. All lease agreements will be prepared in accordance with the Ontario landlord/tenant laws. Client is recommended to read the lease agreement that is prepared by FCR in its entirety prior to its execution. Client assumes all risks associated with the said lease agreement. FCR or Independent Contractors shall not be held liable for any damages done to clients rental property that is not done by FCR or Independent Contractor. FCR shall act as a property management company, collect rent and file for evictions. A walk through and detailed inspection will be done when the tenant takes possession of the property and every 3 months thereafter. FCR will provide a lock box for its employees, contractors or agents. If Client provides a lockbox with a key, Client assumes all risks associated with using a lockbox with property (lockbox left unlock, lockbox malfunction, broken lockbox, stolen lockbox, etc.)

Terminating the Agreement

_____With reasonable cause, either Client or FCR may terminate this agreement, effective immediately upon receipt of written notice.

Reasonable cause for cancellation includes:

A material violation of this Agreement; or Any act exposing the other party to liability to others for personal injury or property damage.

Exclusive Agreement This is the entire Agreement between First Choice Rental and the Client. Severability If any part of this Agreement is held unenforceable, the rest of the agreement will continue in effect. Applicable Law This Agreement will be governed by the laws of the province of Ontario.

Notices All notices and other communications in connection with this Agreement shall be in writing and shall be considered given as follows:

When delivered personally to the recipient's address as stated in this Agreement. Three days after being deposited in Canada Post, with postage prepaid to the recipient's address as stated on this Agreement. When sent by email stated in the agreement. Notice is effective upon receipt provided that a duplicate copy of the notice is promptly given by first class mail, or the recipient delivers a written confirmation of receipt.

If the agreement is sent by E-mail, First Choice Rental and the client agree that this Agreement will be considered signed when the signature of a party is delivered by electronic transmission. Signatures transmitted by e-mail shall have the same effect as original signatures.
