Terms & Conditions:

TERMS Atlantic SEO (hereinafter referred to as AtS) recommends allowing at least twelve months of uninterrupted service before judging the return on this investment. This agreement will automatically switch to a month-to-month term beginning on the 13th month. The customer (hereinafter referred to as CLIENT) may cancel at any time after the first 12 months on a month-to-month basis with a 30-day written (and confirmed by replied email) notice. The A La Carte month-to-month options also require a 30-day written notice. Work will begin upon receiving a signed Service Agreement, initial payment and the required information (such as keyword selection and FTP server access). CLIENT agrees to provide any and all necessary requested information without delay. Should the CLIENT fail to provide any of the required information in a timely manner, the contract will be put on hold indefinitely without refund until such information is provided. KEYWORD RESEARCH Based on the CLIENT's industry and the geographic areas that the CLIENT is targeting, AtS will provide the CLIENT with an Excel spreadsheet with search terms that are used most often when searching within Google. This custom research report will include estimated monthly Google search volume for each individual key phrase based on averages over the last 12 months. Most reports will provide between 50 to 150 potential, target search terms. GOOGLE ADWORDS SETUP Based on the CLIENT's industry and the geographic target zone, AtS will either setup a new account within Google AdWords (Googles pay-per-click advertising program) on behalf of the CLIENT or assist the CLIENT with improvement suggestions on their existing account. CLIENT understands that this fee is for setup charges and/or ongoing maintenance only and not for the actual click-through fees which will need to be paid to Google. Based on the keyword research provided by AtS, AtS will select titles, ad copy, geographic targeting, keywords, bid selections and more. The CLIENT will be able to choose a monthly spending limit which they can raise, lower or cancel at any time. 100% of these fees will go to Google and not AtS. The CLIENT will be provided with login information for full access to manage their account, as well as the ability to request detailed reporting from Google. OPTIMIZATION SERVICES AtS will download the CLIENTs selected Web pages via FTP and optimize the HTML coding (title tags, meta tags, header tags, image alt tags, and suggested additional content as needed and when accessible). AtS will also provide the client with a suggested sitemap page, robots.txt file, keyword enriched internal linking suggestions and instructions on correcting .htaccess issues (when applicable). All edited pages and suggestions will be emailed to the CLIENT or uploaded via FTP. AtS must be provided with the appropriate FTP login credentials before work is started in order to expedite site optimization. GOOGLE PLACES (LOCAL MAP LISTINGS) AtS will submit the CLIENT's website to Google's Places (previously known as the Local Business Center) to be indexed within their local map listings. These listings often appear when searching for search terms that include the CLIENT's local city name (such as Asheville plastic surgeon). The CLIENT must be able to verify that they have a physical business operation at the address. AtS will also submit the CLIENT's website to various local data providing companies that are believed to help improve rankings within Googles local listings. AtS may need to call the CLIENT for additional information if necessary. LINK BUILDING SERVICES Google relies on inbound links as a voting process when choosing who should rank above whom. The more competitive your search terms (keywords) are, the more inbound links you will need. AtS will manually submit the CLIENT's website to select directories that are based not on appearance, but on the use of human editors, PageRank value, relevant subcategories and proven success rate of generating top rankings. Submission fees (when applicable) are included within AtS fees. Upon request, AtS will provide the CLIENT with the list of the directories which they were submitted to. Please note that some directories take longer than others to respond. AtS does not guarantee which directories will appear within various back link checking tools. The CLIENT will be responsible for verifying submissions. Upon request, AtS will replace any directories that fail to respond to the submission. Please allow at least 90 days for directories to respond before such requests. CLIENT agrees that the various choices of descriptive data used within these directory submissions will be at AtS's discretion, based on information obtained from the CLIENTs website. CUSTOMER SUPPORT Unlike the more expensive contracts available through Customer Magnetism, the CLIENT understands and agrees that the services offered here within do not include phone support in effort to keep the cost down (except when initiated by AtS). However, AtS will provide the CLIENT with free email support throughout the term. Emailed questions will be typically answered within 1-2 business days. If desired, phone support may be requested at a rate of $180/hour or may be pre-purchased in blocks of 3 hours or more at a discounted rate of $150/hour (in 30 minute billing increments). GUARANTEES AtS agrees to complete all upfront services within 30 days on behalf of the CLIENT. If for any reason AtS is unable to fulfill this schedule, CLIENT may request a refund for the pro-rated cost of all uncompleted work. AtS GUARANTEES that all services be completed within 30 days or as stated within the TERMS. CLIENT agrees because AtS does not own or control the search engines, there will be no other refunds or guarantees based on desired rankings, traffic, increased sales, etc. NON-INFRINGEMENT CLIENT agrees to verify that all graphics, trademarks and text that AtS uses within these listed services are legally owned by CLIENT and/or received written permission from the rightful owner(s) to use. CLIENT will hold harmless, protect and defend AtS and its employees from any liability or suit arising from improper use of such elements, and shall indemnify AtS for any associated costs or losses. LIMITATION OF LIABILITY In exchange for AtS undertaking this agreement, anything in this or any Agreement to the contrary notwithstanding, AtSs liability for default or breach, including breach of any guarantee or warranty expressed within this Service Agreement, shall be limited to the amount actually paid to AtS by CLIENT under this Contract. CLIENT agrees that AtS shall have no liability for loss of product or sales, lost profit, loss of website use or any other indirect, incidental, economic, consequential damages. CHOICE OF LAW; VENUE; DISPUTE RESOLUTION Any dispute arising from this Agreement, including, without limitation, a breach of this Agreement, shall be governed by the laws of the Commonwealth of Virginia, not merely procedural, but also substantive. CLIENT agrees that it makes the offer contained in this agreement to AtS at its office in Virginia Beach, VA. Also, the exclusive jurisdiction for resolving any matters related in any way to the relationship between CLIENT and AtS, other than enforcement of an order or collection of fees, is to be within the state of Virginia, or the nearest appellate and federal courts as AtS deems necessary. OTHER PROVISIONS CLIENT agrees to the terms and descriptions found in this document. This service agreement constitutes the entire Agreement between AtS and CLIENT with respect to the subject matter of this Agreement, and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral, between CLIENT and AtS. This agreement may be changed, modified or amended only in a written modification that is duly executed by authorized representatives of both parties. If any provision of this Agreement is determined to be unenforceable for any reason, the remaining terms will remain in effect without the unenforceable term. All Notices required under this Agreement may be mailed to: Atlantic SEO, 2697 International Pkwy, Parkway Seven, Virginia Beach, VA 23452. Faxed signatures are sufficient to be legally binding. By choosing month-to-month services, CLIENT authorizes AtS to bill their credit card and/or Paypal according to the terms of this Agreement. CLIENT agrees that they are authorized to make decisions on their companys behalf and that they are the AUTHORIZED user of the credit card or Paypal account.
