ARTICLES OF PARTNERSHIP OF SUNRISE MARKETING COMPANY KNOW ALL MEN BY THESE PRESENTS: That we, Anita Berlon of legal

age, single and a residence of Brgy. Bita no, Legazpi City; Grace Castro of legal age, single and a residence of Brgy. San Roque, Legazpi City; and Pia Moral of legal age, single and a residence of Wash ington Drive, Legazpi City, have agreed to form a general partnership under the terms and conditions herein after set forth and subject to the provisions of exi sting laws of the Republic of the Philippines. AND WE HEREBY CERTIFY: ARTICLE I. That the name of the partnership shall be Sunrise Mar keting Company. ARTICLE II. That the principal office of the Partnership shall b e located at Penaranda Street, Legazpi City. ARTICLE III. That the names, citizenships and residence of the p artners of said partnership are as follows. NAME CITIZENSHIP RESIDENCE DESIGNAT ION 1.) Anita Berlon Filipino Legazpi City Industrial Partn er 2.) Grace Castro Filipino Legazpi City General Partner 3.) Pia Moral Filipino Legazpi City General Partner ARTICLE IV. That the term for which the partnership is to exist is 10 years from the recording of said partnership by the Securities and Exchang e Commission. ARTICLE V. That the purposes for which said partnership is forme d are as follows: 1.) To engage in the advertising of the products of other companies; 2.) To introduce the products of other companies into the market; and 3.) To conduct those activities which are necessary and can be impliedly inf erred from the purpose for which the partnership is constituted. ARTICLE VI. That the capital of this partnership shall be Five Hundred Thousand Pesos, Philippine Currency contributed in cash by the partners as follows: NAME AMOUNT CONTRIBUTED 1.) Grace Castro P250,000.00 2.) Pia Moral P250,000.00 TOTAL P500,000.00 That no transfer which will reduce the ownership of Filipino cit izens to less than the required percentage of capital shall be recorded in the p roper books of the partnership. ARTICLE VII. That the profits and losses of the partnership shal l be distributed in the following manner: PROFIT LOSS 1.) Anita Berlon 40% 2.) Grace Castro 30% 50% 3.) Pia Moral 30% 50% ARTICLE VIII. That the company shall be under the management of Grace Castro as General Manager and as such she shall have charge of the managem ent of the affairs of the partnership. Section 1. That the general partners shall not engage in any bus iness without the written consent of all the partners. Section 2. That the industrial partner is absolutely prohibited from engaging in any business of any kind whatsoever. Section 3. That the general partner who violated the provision o f Section 1 shall bring to the partnership account whatever profits she has obta ined.

ARTICLE IX. That all funds of the partnership shall be deposited in its name in such checking account or accounts as shall be designated by the partners. All withdrawals there from are to be made upon checks signed by the ma naging partner. ARTICLE X. The partnership books shall be maintained at the prin cipal office of the partnership, and each partner shall at all times have access thereto. The books shall be kept on a fiscal year basis, and shall be closed an d balanced at the end of each fiscal year. An audit shall be made as of the clos ing date. ARTICLE XI. The partnership may be dissolved at any time by agre ement of the partners, in which event the partners shall proceed with reasonable promptness to liquidate the business of the partnership. The partnership name s hall be sold with the other assets of the business. The assets of the partnershi p business shall be used and distributed in the following order: (a) to pay or provide for the payment of all partnership liabili ties and liquidating expenses and obligations; (b) to equalize the income accounts of the partners; (c) to discharge the balance of the income accounts of the partn ers; (d) to equalize the capital accounts of the partners; and (e) to discharge the balance of the capital accounts of the part ners. ARTICLE XII. Upon the death of any partner, the surviving partne rs shall have the right either to purchase the interest of the decedent in the p artnertship or to terminate and liquidate the partnership business. If the survi ving partners elect to purchase the decedent's interest, they shall serve notic e in writing of such election, within three months after the death of the decede nt, upon the executor or administrator of the decedent, or, if at the time of su ch election no legal representative has been appointed, upon any one of the know n legal heirs of the decedent at the last-known address of such heir. Section 1. If the surviving partners elect to purchase the inter est of the decedent in the partnership, the purchase price shall be equal to the decedent's capital account as of the date of her death plus the decedent's inco me account as at the end of the prior fiscal year, increased by her share of par tnership profits or decreased by her share of partnership losses for the period from the beginning of the fiscal year in which her death occurred until the end of the calendar month in which her death occurred, and decreased by withdrawals charged to her income account during such period. No allowance shall be made for goodwill, trade name, patents, or other intangible assets, except as those asse ts have been reflected on the partnership books immediately prior to the deceden t's death; but the survivor shall nevertheless be entitled to use the trade name of the partnership. Section 2. Except as herein otherwise stated, the procedure as t o liquidation and distribution of the assets of the partnership business shall b e the same as stated in Article XI. ARTICLE XIII. That the partners manifest their willingness to ch ange their partnership name in the event another person, firm or entity has acqu ired a prior right to use the said firm name or one deceptively of confusing sim ilar to it.
