Franchisees Module - 1

Turtle will pay

Margin 41% (mark down) 33% mark down (on net MRP) during End of season sale

Franchisee will pay

Bill wise payment within 30 days from LR date (15% interest p.a. if not paid within 30 days) Entry tax / Octroi (If applicable) LST/VAT CST

Freight & Insurance (for goods) to & fro

Advertisement & promotion including any kind of media ad, hoardings, in store promotions, sales promotional schemes etc. Goods replacement as per Companys decision

Insurance of stocks & Furniture (complete shop)

Monthly operational cost of store including all expenses like Rent, Cam, Salary, Bonus & Leave, Electricity, Telephone, Internet, AMC, Repairs & maintenance and all other expenses. Investment as per detail in Franchisees investment annexure

Franchisees Investment (Annexure I)

INTERIOR COST Rs. 1700 per sq. ft. (Based on 600-700 sq ft area) Cost including furniture & fixtures, false ceiling, wooden flooring, mannequins, light fittings & fixtures, air conditioner or ducting expenses etc. Furniture cost will be less in case the showroom space is more than 700 sq ft and will be more if carpet area is less than 600 sq ft STOCK INVESTMENT Rs. 5 7.5 lac (on rotation) COMPUTER Franchisee will provide computer and other related stationery like printer, scanner etc. SOFTWARE INSTALLATION EXPENSES Turtle will provide online Software but Franchisee will have to pay the installation charges of Rs.35,000.00 which includes traveling & installation fees of Software engineer. 6 blank dated cheque of Rs. 1 lac each which will be kept and will be used only in case of default in payment.

Franchisees Investment (Annexure II)

SIGNING FEES (One time Non refundable fee) Rs. 1 lac SECURITY DEPOSIT Rs. 5 lac (Turtle will give 7% interest p.a.)

INTERIOR COST Turtle will invest on furniture except for false ceiling, painting, wooden flooring, light fittings & fixtures, air conditioner or ducting expenses which will be in between 30% - 35% (approx) of the total furniture cost. Franchisee will get a separate invoice from Architect for the above items.

M.G. Calculation (Annexure III)

Break-even calculation is based on: Rental of the shop - on actual CAM (Maintenance charge by Mall) on actual Operational cost - Rs. 30,000.00 (Based on 600-700 sq ft showroom) covering Electricity expenses, Salary of staff, Credit card commissions, Alterations expenses, Telephone & Internet and any other miscellaneous & incidental expenses. Operational cost will be change as per area of the Showroom. Mode of Calculation: In case total sale p.a. is less than ________ lac (Break-even sale), Turtle will pay 27% (It might change in case Entry tax or Octroi is applicable) of the deficit amount. For example break-even of the shop is Rs. 50 lac p.a. and assume that the sale for 1st year is Rs. 40 lac, in this case Turtle will pay Rs.2, 70,000.00 being 27% of Rs.10 lac (deficit). But in case sale is 50 lac or more than 50 lac Turtle will not pay any M.G.
