progress your matter until the point of completion.

2. ANTI-MONEY LAUNDERING (AML) INFORMATION

The UK government imposes very thorough and strict Anti-Money Laundering (AML) Regulations on any
individuals purchasing a property within the UK and this applies also for any practitioners (solicitors, agents,
lenders) who assist these individuals. Each practitioner is separately required to satisfy the regulations so,
whilst you may have already been required to provide similar information to your lender and agent, we
cannot rely on their checks and must carry out our own.

We are required to obtain written documentary evidence from all purchasing clients to satisfy 4 main
elements: Proof of Identity (POI); Proof of Address (POA); Source of Wealth (SoW) and Proof of Funding
(POF). This section is the first phase in helping you meet the requirements of the regulations.

We will be required to conduct two main AML checks during a typical purchase transaction: prior to
exchange of contract when the purchase deposit is paid and prior to final completion when the balance
completion amount is paid.

We are not permitted to accept any deposit or completion funds from you until this form and the
documents that have been received have all been signed off by our Compliance Team.

If any purchasing client who we will not be meeting in person, we will require an additional document: either
one POI and two POA or two POI and one POA.

5. EXCHANGE OF CONTRACT INSTRUCTION

交换合同指令

In the UK, solicitors are permitted to sign contracts on behalf of a client provided that they have express
authority from their client to do so. This applies only to contracts so solicitors cannot sign any other legal
documents on a client’s behalf. Especially for clients based overseas where you may not have the facility to
easily print (in colour), sign and return hard copy documents to us, you may wish to authorise us to sign your
contract on your behalf. However, please note that if you authorise us to sign the contract on your behalf,
we do so without the solicitor or Spencer West LLP accepting any liability whatsoever.

However, please be aware that the exchanging of contracts is a fundamental stage of any purchase
transaction as this is the point at which both parties become legally bound to a transaction. Once
contracts are exchanged, you will not be permitted to withdraw from the purchase unless either the
contract provides an exit strategy for you or a separate arrangement is negotiated and agreed the seller.

6. MONEY ON ACCOUNT
预付款

Throughout your transaction, there will be a number of disbursements which we will need to incur on your
behalf. Most will be typical to any conveyancing transaction (i.e. third party search fees, Land Registry
registration fee) but there may be other disbursements specific to your particular transaction which we
cannot foresee right now. This is especially so if you will be obtaining a mortgage for completion.

7. JOINT OWNERSHIP INSTRUCTION
多人持有房产的方式

It is extremely important that parties purchasing a property together understand the basis upon which they
are holding the legal title to the property. Please read this carefully and take our advice.

There are three ways in which the ownership of the property can be held:

Beneficial joint tenants This means that, in the event of the death of one of the owners, the deceased
共同持有 party’s share in the ownership will pass automatically to the surviving owner
who will then own the property. Lodging a copy of the death certificate at the
Land Registry is necessary to amend the Land Registry’s details of the owners.
The significance of this is that no one person owns a separate share or interest in
the property and each person owns the whole. Nobody is then able to leave a
‘share’ in their will; it passes by operation of law.

Beneficial tenants in The second way is to hold the property as beneficial tenants in common in equal
common in equal shares. This means that each person will own an equal share of the property and
shares this will be evidenced by means of a restriction on the register indicating that the

should draw up a will to confirm to whom their share of the property should be
left. It is advisable to have a deed of trust between the parties making provision
for the situation where one of the parties wishes to sell their share

Beneficial tenants in The third way is to hold the property as beneficial tenants in common in unequal
common in unequal shares. This is to take account of the situation where one party contributes a
shares larger proportion of the purchase price than the others.

Whilst we will register your ownership as tenants in common at UK Land


Registry. UK Land Registry will not make any record of your unequal share on
your title register. As such, a declaration of trust is essential in this situation to
ensure that the party making the greater contribution is protected. The
declaration will state what shares each person owns and will make provision for
the situation where one of the parties wishes to sell their share.

Again, a will should be drawn up for each person involved in the transaction to
ensure that in the event of death the property is disposed of in accordance with

duty land tax return at HMRC. Needless to say, it is extremely important that the information within your
return are accurate and the tax duty is correctly accessed. Unless where we are aware of obvious
