ou “Companhia”), construtora e incorporadora estrategicamente focada na cidade de São Paulo, anuncia hoje
seus resultados do quarto trimestre de 2023 (4T23). As informações financeiras e operacionais a seguir, exceto
onde especificado ao contrário, são consolidadas de acordo com as práticas contábeis estipuladas no IFRS
(International Financial Reporting Standards, ou Normas Internacionais de Contabilidade).

Gostaria de começar a mensagem agradecendo a todos que contribuíram com a Mitre neste ano de 2023,
especialmente nossos funcionários, fornecedores e parceiros, que apesar dos desafios, conseguiram entregar seu
melhor e nos ajudar a ter um ano operacionalmente muito bom. Entregamos aos nossos clientes 1.498 unidades,
totalizando 7 obras entregues, além de mais 1.386 unidades em fase de entrega, mantendo um índice de aceite em
primeira vistoria de 92%.
Continuamos acreditando que o produto é nosso principal diferencial, e os R$1,5 bilhão em VGV lançado este ano
é um motivo para nos orgulhar, foram projetos minuciosamente pensados e a performance de vendas ratifica isto.
Atualmente o GIO e ML Brooklin estão aproximadamente 50% vendidos, considerando o VGV, e o Haus Mitre Edition
NY, nosso maior projeto na história, já ultrapassou os 26%. Tais projetos foram primordiais para atingirmos a marca
de R$1,0 bilhão de vendas líquidas no ano, um importante marco em nossa história.
Entretanto o ano não foi composto somente de marcos positivos, no 2T23 atingimos a nossa pior margem bruta,
17,0%, fortemente impactada pela entrega dos projetos que sofreram com a alta dos insumos ao longo da pandemia
do COVID e, apesar de termos recuperado, desde então, 2,5 pontos percentuais, não estamos satisfeitos com este
nível de margem e continuaremos a trabalhar incansavelmente para que ao longo dos próximos trimestres nossa
margem volte aos patamares históricos da Companhia.
Já no 3T23, nosso nível de alavancagem atingiu 49,1% de dívida líquida sobre patrimônio líquido, mas conforme
antecipado, uma situação pontual e que seria equalizada com a evolução dos repasses provenientes das entregas
em andamento. No 4T23 já sentimos o efeito destas entregas, ratificadas pela geração de caixa de R$39,6 milhões.
Vale reforçar ainda que para o 1º semestre esperamos aproximadamente R$380,0 milhões de reais provenientes
destes repasses, o que deve contribuir para geração de caixa ao longo do 1º semestre de 2024.
Finalizando nossos compromissos, tínhamos a missão de entregar um G&A equilibrado e abaixo dos R$100,0
milhões, e cumprimos esta meta, encerrando 2023 com R$ 89,3 milhões, 15,6% inferiores aos R$ 105,9 milhões em
2022. A meta interna foi simples, fazer mais com menos, revisitamos projetos, repensamos nossas linhas e
implementamos processos de melhoria e automação. Pode parecer simples, mas foi doloroso e por isto começamos
esta mensagem agradecendo àqueles que contribuíram para este resultado.
Chegamos ao fim desta mensagem com a linha mais importante do resultado, o lucro líquido, totalizando R$90,4
milhões, um crescimento de 159,5% no comparativo com 2022. Esse número é um dos principais indicadores do
retorno entregue aos nossos acionistas, mas não podemos esquecer de somar a ele todos os dividendos pagos ao
longo do ano, um total de R$80,3 milhões distribuídos nos últimos 12 meses. Finalizamos esta mensagem
agradecendo a vocês acionistas por acreditar em nós e no trabalho desenvolvido, continuaremos buscando expandir
estes resultados, em prol de gerar valor aos nossos acionistas, clientes e demais stakeholders.

I Lançamento 4T23
Lançamos ao final de novembro o Haus Mitre Edition NY, maior projeto da Mitre lançado até então, com VGV total
estimado de R$ 784,7 milhões. Concebido para transmitir a atmosfera da cidade de Nova York, o projeto é assinado
por renomados escritórios de arquitetura e paisagismo e localizado em área nobre do Brooklin, na rua Michigan. O
empreendimento contará com três torres, sendo duas com residences de até 217m2 com VGV de R$ 620 milhões
já lançadas e a torre Soho com unidades de 23m² até 60m² a ser lançada ainda no 1T24. O sucesso do lançamento
refletiu as altas expectativas para este produto único: até a presente data, o projeto encontra-se 26,2% vendido
Em 2023 a Companhia bateu seu recorde em vendas, encerrando o ano com R$ 1,2 bilhão em vendas brutas e R$
1,0 bilhão em vendas líquidas, crescimento de 20,9% e 25,9% em relação ao ano anterior, respectivamente. No
trimestre, as vendas brutas totalizaram R$ 351,3 milhões (+5,9% vs. 3T23) e as vendas líquidas R$ 314,3 milhões
(+4,7% vs. 3T23). Vale destacar o bom desemprenho do projeto Haus Mitre Edition NY que contribuiu com R$ 121,4
milhões.
A VSO do ano de 2023 fechou em 31,4%, patamar saudável e aderente ao planejamento de sermos uma empresa
com baixo estoque pronto, corroborando com o baixíssimo nível de estoque pronto em nosso portfólio, e totalizando
apenas 2% do VGV em estoque total. Importante destacar que os projetos lançados em 2023 têm apresentado um
ótimo desempenho, com uma VSO consolidada de 27,2% em poucos meses de vendas, permanecendo, ainda, um
bom indicador quando consideramos a magnitude do recém-lançado Haus Mitre Edition NY.

Ao final do 4T23, o estoque da Mitre totalizou 2.393 unidades, equivalente a um VGV de R$ 2,1 bilhões², impactado
pela entrada do Haus Mitre Edition NY no estoque, maior projeto lançado pela Mitre até então. Em contrapartida, o
giro de estoque da Mitre é bastante saudável, de forma que o estoque é composto majoritariamente por projetos a
serem entregues a partir de 2025 conforme destacado no gráfico do aging do estoque abaixo. A manutenção da
VSO em níveis saudáveis garante que o estoque manterá o giro histórico. Ainda, esclarecemos que a movimentação
no estoque equivale, em suma, ao saldo líquido de três componentes: (i) vendas líquidas do período; (ii) incremento
de estoque em função de lançamentos; e (iii) eventuais ajustes de estoque a valor de mercado. Nosso estoque
pronto permanece baixo, com 71 unidades ao final do 4T23, que equivalem a apenas 2,0% do VGV em estoque.
¹ A partir do 1T23 o VGV em estoque passou a excluir a comissão de vendas incorporada ao valor das unidades lançadas, sendo o 4T22 ajustado de forma retroativa. Ainda, é demonstrado no
gráfico o ajuste a valor de mercado do estoque da Companhia na data de divulgação desse relatório, além da diferença entre o valor de tabela das unidades e o valor contratual pactuado com
os clientes, consequência, majoritariamente, da antecipação de parcelas. Adicionalmente, o ajuste de lançamento considera a exclusão do VGV referente ao parceiro do projeto ML Brooklin,
bem como está líquido de comissões.

Ainda, cabe destacar que nós mantemos um giro de estoque bastante confortável, o que ratifica nossa capacidade
em manter as operações eficientes. A exemplo disso, mostramos abaixo o comportamento do estoque da linha Haus
de safras anteriores a 2023, evidenciando a evolução das vendas desses projetos. Tal fato endereça a preocupação
em relação a projetos que, em período de obras, possam ter apresentado um ritmo de vendas menos acelerado.

Em 2023 entregamos, ao todo, 7 projetos, os quais somaram 1.498 unidades e perfizeram VGV de R$ 646,4 milhões,
conforme ilustramos abaixo. Tais entregas, muito bem-sucedidas, tiveram o índice de aceite de 92% na primeira
vistoria. Ainda, possuímos mais 6 projetos em entrega atualmente, os quais somam R$ 796,6 milhões e 1.386
unidades.

Projetos
O banco de terrenos da Companhia totalizou R$ 5,2 bilhões em VGV potencial, estável em relação ao último
trimestre e nos conferindo, aproximadamente, 3 anos de lançamentos. Acreditamos que a Companhia atingiu um
tamanho ideal de Landbank e vem demonstrando consistência em repor seu landbank com qualidade. Ainda,
conforme já pontuado no último trimestre, a partir de agora a reposição dos futuros empreendimentos não deverá
trazer impactos relevantes para a geração de caixa da empresa, que possui sua estratégia de desembolso para
pagamento de terrenos atrelada aos eventos de lançamento, de forma a otimizar a alocação e retorno de capital.
Adicionalmente, vale ressaltar ainda que temos conseguido aumentar o percentual das permutas em nossas últimas
aquisições, contribuindo desta forma com um melhor emprego de capital em nossos projetos.

No consolidado anual, a receita líquida somou R$ 926,3 milhões, um crescimento de 22,1% em relação ao ano
anterior, vale ressaltar que estamos incrementando a receita de forma gradual e em 2024 deveremos ver esta linha
convergir para o patamar de vendas da empresa. No 4T23 a receita líquida da Companhia totalizou R$ 278,7 milhões
5,8% superior ao 4T22, resultado do maior volume de vendas e da evolução do andamento da obra dos projetos
que compõem esta linha.

O lucro bruto ajustado é uma medida não contábil utilizada pela Companhia, calculado através do lucro bruto adicionado dos custos financeiros dos financiamentos
à produção, os quais são capitalizados nos custos dos imóveis vendidos e reconhecidos conforme a proporcionalidade das unidades vendidas. Adicionalmente, a
margem bruta ajustada é calculada pela divisão entre o lucro bruto ajustado e a receita líquida.
O Lucro Bruto do 4T23 foi de R$ 54,4 milhões, correspondendo a uma margem bruta de 19,5%. Apesar de estável,
gostaríamos de pontuar que ao atingir o ponto de inflexão no 2T23, nos comprometemos aumentar gradativamente
a margem ao longo dos trimestres e, até o momento, apresentamos uma recuperação de 2,6p.p.. Gostaríamos de
reforçar que tal compromisso está mantido e renovado, e que ao longo dos próximos trimestres devemos ver nossa
margem voltar aos patamares históricos da Companhia.
Em relação ao lucro bruto ajustado, o mesmo totalizou R$ 67,1 milhões no 4T23, 5% inferior aos R$ 70,7 milhões
do 3T23, visto o menor volume de encargos financeiros incorridos no trimestre. Na perspectiva anual, o lucro bruto
de R$ 237,1 milhões ficou em linha com os R$ 244,4 milhões de 2022, com margem bruta ajustada de 25,6%.
Em 2023 as despesas comerciais totalizaram R$52,5 milhões, uma redução de 21,8% em relação ao ano de 2022,
demonstrando a capacidade e eficiência do time Mitre na alocação dos recursos e melhorando significativamente
nosso indicador de despesas sobre lançamento, reduzido de 4,8% no ano de 2022 para 3,1% em 2023. Ao
analisarmos o trimestre, as despesas subiram 21,2% no comparativo 4T23 vs. 4T22, fator explicado pelo impacto
do lançamento do Haus Mitre Edition NY.
Em 2023, as despesas administrativas foram reduzidas em 15,6%, consolidando nosso compromisso em reduzir
tais despesas e não ultrapassar a marca de R$ 100 milhões. No 4T23, as despesas gerais e administrativas
totalizaram R$ 27,5 milhões, 5,7% superiores aos R$ 26,0 milhões no 3T23 e 24,3% melhores que os R$ 36,3
milhões do 4T22. A redução real de G&A no ano endossa o posicionamento de nos manter como uma das empresas
mais eficientes de nosso mercado, visto nosso indicador de G&A em relação ao VGV lançado, o qual foi de 7,6%
em 2022 para 5,3% em 2023, melhora de 2,3 p.p.

pela Companhia em consonância com a Instrução CVM nº 527, de 4 de outubro de 2012 (“Instrução CVM 527”), conciliada com suas demonstrações financeiras, e consiste no lucro líquido
acrescido pelo resultado financeiro líquido, pelas despesas de imposto de renda e contribuição social, e pelas despesas e custos de depreciação e amortização. A margem EBITDA é calculada
pela divisão do EBITDA pela receita operacional líquida.
² EBITDA Ajustado é uma medição não contábil segundo as práticas contábeis adotadas no Brasil e aceitas pelo IFRS. O EBITDA ajustado é calculado através do EBITDA adicionado dos
custos financeiros dos financiamentos à produção, os quais são capitalizados nos custos dos imóveis vendidos e reconhecidos conforme a proporcionalidade das unidades vendidas.
Adicionalmente, a margem EBITDA Ajustada é calculada pela divisão do EBITDA ajustado pela receita operacional líquida.
Com isso, o EBITDA Ajustado, que considera o estorno dos custos financeiros dos financiamentos relacionados à
produção, foi de R$ 36,5 milhões, superior em 10,7% ao 3T23 e 29,5% acima dos R$ 28,9 milhões do 4T22. Na
visão anual o indicador totalizou R$ 160,8 milhões em 2023, incremento de 113,7% em relação a 2022. Nesse
sentido, a margem EBITDA ajustada no 4T23 foi de 13,1%, 1,2 p.p. superior ao 3T23 e 2,4 p.p. acima do 4T22, que
foi de 10,7%. A margem anual fechou em 17,4%, 7,4 p.p. melhor que os 9,9% de 2022.
O EBITDA, por sua vez, fechou em R$ 23,7 milhões no trimestre e margem de 8,5%, representando incremento de
47,3% em relação ao 3T23 e 26,9% sobre o 4T22, com R$ 18,7 milhões. Na perspectiva anual, o EBITDA passou
de R$ 52,2 milhões em 2022 para R$ 107,8 milhões em 2023. Como resultado, a margem EBITDA de 2023 foi de
11,6%, ante 6,9% em 2022, melhora de 4,7 p.p.
O resultado financeiro líquido encerrou o ano positivo em R$11,6 milhões, 2x melhor que o resultado do ano anterior,
positivamente impactado pelo efeito do (Total Return Swap). No 4T23, o resultado financeiro foi de -R$ 2,1 milhões,
vs -R$ 1,3 milhões no 4T22, se mantendo estável nominalmente.

Encerramos o ano com um lucro líquido de R$ 90,4 milhões, um resultado 159,5% superior ao ano de 2022. Além
disso, no 4T23 atingimos R$13,6 milhões de resultado, um crescimento de 41,4% vs. 4T22. A margem líquida da
empresa atingiu 9,8% no ano, crescimento de 5,2p,p, comparado ao ano anterior.
¹ ROAE (Return On Average Equity) é o lucro líquido dividido pelo patrimônio líquido médio da Companhia (calculado pela média entre o patrimônio líquido do
exercício corrente com o patrimônio líquido do período imediatamente anterior).
O ROE, importante indicador para a Companhia, atingiu nos últimos doze meses o patamar de 8,9%, superando em
5,4p.p. o 4T22. Em nossas comunicações de resultado sempre destacamos como principal driver da Companhia a
geração de valor a seus acionistas, através de uma estrutura de capital corretamente balanceada. Vislumbramos
atingir um ROE de dois dígitos e acreditamos estar no caminho certo para tanto, à medida que realizamos o exercício
constante de avaliar as melhores alternativas de rentabilização aplicáveis ao momento da Companhia. A exemplo
disso, no 4T23 concretizamos a venda de participação societária de 3 projetos, através de uma operação estruturada
a qual gerou resultado de R$ 17,3 milhões no trimestre. Como empresa, enxergamos que o melhor indicador de
geração de valor é o incremento do nosso ROE e tais operações são importantes geradoras de destravamento de
valor futuro.
A receita a apropriar ao final do 4T23, já líquida de distratos, foi de R$ 781,1 milhões, 13,3% inferior ao 3T23, impacta
pela desconsolidação dos projetos vendidos, conforme exemplificado no tópico acima. O custo orçado a apropriar,
por sua vez, totalizou R$ 493,3 milhões no trimestre, ante R$ 593,1 milhões no 3T23, também influenciado pela
alteração mencionada. Dessa forma, a margem a apropriar (Margem REF) fechou em 36,8% em 2023, marcando o
ganho de 2,6 p.p. em relação ao 3T23 e está atrelada a um resultado bruto a apropriar de R$ 287,8 milhões. Ainda,
é importante pontuar que a entrada dos projetos de 2023 no resultado a apropriar, especialmente o Haus Mitre
Edition NY, contribuem também significativamente para a melhora do indicador, uma vez que possuem margens
mais atrativas e acima do patamar de 30%.

I Recebíveis
O saldo contábil em contas a receber ao final do 4T23 era de R$ 787,8 milhões, inferior em 3,7% aos R$ 818,2
milhões do 3T23. A redução no saldo desta linha dá-se, excepcionalmente, em razão do método de reconhecimento
dos recebíveis de projetos envolvidos operações de venda de participação societária, que deixam de integrar este
saldo. Em contrapartida, tais projetos ainda são refletidos no resultado anual, visto que a venda ocorreu apenas no
4T23. Ao final do 4T23 o valor financeiro da carteira somou R$ 1,6 bilhão. Em adição, ressaltamos que o LTV (“loan
to value”) mantém-se em excelente patamar, de 38,9%, o que significa dizer que o cliente Mitre paga, em média,
61,1% do seu imóvel no momento da entrega. Em complemento ao excelente LTV, nosso índice de inadimplência
permanece extremamente baixo, equivalente a apenas 0,14% da carteira. O saldo de contas a receber está
distribuído da seguinte forma:

Além disso, mantemo-nos confortáveis com o endividamento da Companhia em razão do fluxo de repasses dos
projetos entregues/ em entrega, que deverá equalizar a geração de caixa e contribuir para a redução da dívida
líquida, já iniciada no 4T23, conforme ilustrado no gráfico mais adiante e observado ao analisarmos a alavancagem
da Companhia, que passou de 49,1% no 3T23 para 44,4% no 4T23, queda de 4,7p.p. Com isso, neste último
trimestre de 2023 tivemos uma geração de R$ 39,6 milhões, sinalizando, portanto, o início da execução de um
importante compromisso da Companhia para com seus investidores e mercado em geral.
No 4T23, entregamos 03 projetos e 712 unidades e ao longo do 1T24, entregaremos mais 06 projetos que totalizam
1.386 unidades, o que contribuirá ainda mais para nossa geração de caixa de curto e médio prazos. Esperamos,
em razão desses repasses, alcançar ao longo de 2024, majoritariamente no 1T e 2T, o patamar de adicionais R$
378 milhões de entradas de caixa.

Em 2023, renovamos nossos compromissos e metas ESG de curto prazo, desenvolvemos iniciativas e reavaliamos
processos em busca de evoluir o nível da gestão da Companhia. Como exemplos, aprovamos a nossa política de
Mudanças Climáticas, a qual estabelece o compromisso da Companhia com a gestão das emissões de gases de
efeito estufa e dos riscos e oportunidades climáticos; e aprovamos nossa política de Governança e Proteção de
Dados, reforçando o compromisso em proteger os dados pessoais utilizados em nossas atividades.
O conjunto de práticas desenvolvidas e aperfeiçoadas contribuiu para que a companhia fosse selecionada para a
carteira 2024 do Índice de Sustentabilidade Empresarial (ISE) – importante índice da B3 usado como referência para
investimentos ESG - e para melhoria do score do CDP Climate Change com pontuação B- em 2023, ante a uma
pontuação C em 2022. Com isso, figuramos entre os melhores desempenhos do setor no país, o que demonstra
nosso comprometimento e evolução na gestão das questões relacionadas às mudanças do clima.
Além disso, anualmente publicamos nosso relatório de sustentabilidade, assegurado externamente desde 2023 (ano
base 2022); elaboramos e publicamos nosso inventário de emissões de gases de efeito estufa, verificado
externamente desde 2023 (ano base 2022), e disponível no Registro Público de Emissões; compensamos nossas
emissões diretas e indiretas de compra de energia (escopos 1 e 2); reportamos nosso alinhamento às
recomendações do TCFD (Task Force on Climate-Related Financial Disclosures) dentro do relatório de
sustentabilidade; respondemos ao questionário do CDP Climate Change; respondemos à Comunicação de
Progresso do Pacto Global da ONU, o qual somos participantes desde o início de 2022.

I would like to start the message by thanking everyone who contributed to Mitre in this year, especially our employees,
suppliers, and partners, who despite the challenges, managed to deliver their best and help us have a very good
year. We delivered 1,498 units to our customers, totaling 7 projects delivered, in addition to another 1,386 units in
delivery phase, maintaining an acceptance rate in the f irst inspection of 92%.
We continue to believe that the product is our main dif f erential, and the R$1.5 billion in PSV launched this year is a
reason to be proud. They were meticulously thought-out projects, and the sales perf ormance ratif ies this. Currently,
the GIO and ML Brooklin are approximately 50% sold, considering the PSV, and the Haus Mitre Edition NY, our
largest project in history, has already exceeded 26%. These projects were essential f or us to reach the mark of R$1.0
billion in net sales in the year, an important milestone in our history.
However, the year was not only composed of positive achievements, in 2Q23 we reached our worst gross margin,
17.0%, strongly impacted by the delivery of projects that suf f ered f rom the increase in inputs throughout the COVID
pandemic and, although we have since recovered 2.5 percentage points, we are not satisf ied with this level of margin
and will continue to work tirelessly so that throughout next quarters our margin returns to historical levels of the
Company.
In 3Q23, our leverage level reached 49.1% net debt to equity, but as anticipated, a one-of f situation that would be
equalized with the evolution of on-lending f rom ongoing deliveries. In 4Q23, we already f elt the ef f ect of these
deliveries, ratif ied by cash generation of R$39.6 million. It is also worth emphasizing that f or the 1st half we expect
approximately R$380.0 million f rom these transf ers, which should contribute to cash generation throughout the 1st
half of 2024.
Finalizing our commitments, we had the mission of delivering a balanced G&A below R$100.0 million, and we
achieved this goal, ending 2023 with R$89.3 million, 15.6% lower than the R$105.9 million in 2022. The internal goal
was simple, to do more with less, we revisited projects, rethought our lines, and implemented improvements and
automation processes. It may seem simple, but it was painf ul and so we begin this message by thanking those who
contributed to this result.
We come to the end of this message with the most important line of the result, net income, totaling R$90.4 million, a

shareholders, but we cannot f orget to add to it all the dividends paid throughout the year, a total of R$80.3 million

I 4Q23 Launch
In 2023, the Company broke its sales record, ending the year with R$ 1.2 billion in gross sales and R$ 1.0 billion in
net sales, growth of 20.9% and 25.9% over the previous year, respectively. In the quarter, gross sales totaled
R$351.3 million (+5.9% vs. 3Q23) and net sales R$314.3 million (+4.7% vs. 3Q23). It is worth highlighting the good
perf ormance of the Haus Mitre Edition NY project, which contributed R$ 121.4 million.
The SoS f or the year 2023 closed at 31.4%, a healthy level and adherent to the plan of being a company with low
ready inventory, corroborating the very low level of ready inventory in our portf olio, and totaling only 2% of PSV of
total inventory. It is important to highlight that the projects launched in 2023 have shown a great perf ormance, with a
consolidated SoS of 27.2% in a f ew months of sales, still a good indicator even considering the magnitude of recently
launched Haus Mitre Edition NY.

At the end of 4Q23, Mitre's inventory totaled 2,393 units, equivalent to a PSV of R$ 2.1 billion², impacted by the entry
of the Haus Mitre Edition NY into the inventory, the largest project launched by Mitre so f ar. On the other hand, Mitre's
inventory turnover is quite healthy, so that the inventory is mostly composed of projects to be delivered f rom 2025
onwards, as highlighted in the inventory aging chart below. Maintaining the SoS at healthy levels ensures that the
stock will maintain its already known cycle. In addition, we clarif y that the movement in inventory is equivalent, in
short, to the net balance of three components: (i) net sales f or the period; (ii) inventory increase due to launches; and
(iii) any adjustments to stock at market value. Our ready inventory remains low, with 71 units at the end of 4Q23,
equivalent to only 2.0% of PSV in stock.
¹ As of 1Q23, the PSV in stock started to exclude the sales commission incorporated into the value of the units launched, with 4Q22 being adjusted retroactively. In addition, the chart shows the
adjustment to market value of the Company's inventory on the date of disclosure of this report, in addition to the difference between the list value of the units and the contractual value agr eed

In 2023, we delivered a total of 7 projects, which totaled 1,498 units and totaled PSV of R$ 646.4 million, as illustrated
below. Such deliveries, which were very successf ul, had an acceptance rate of 92% in the f irst inspection. In addition,
we currently have 6 more projects in delivery, which total R$ 796.6 million and 1,386 units.
The Company's land bank totaled R$ 5.2 billion in potential PSV, stable in relation to the last quarter and giving us
approximately 3 years of launches. We believe that the Company has reached an ideal landbank size and has been
demonstrating consistency in replenishing its landbank with quality. Also, as already pointed out in the last quarter,
f rom now on the replacement of f uture projects should not bring relevant impacts to the company's cash generation,
which has its disbursement strategy f or land payment linked to launch events , in order to optimize the allocation and
return of capital. In addition, it is also worth mentioning that we have been able to increase the percentage of
exchanges in our latest acquisitions, thus contributing to a better use of capital in our projects.

In the annual consolidated, net revenue totaled R$ 926.3 million, a growth of 22.1% compared to the previous year,
it is worth mentioning that we are gradually increasing revenue and in 2024 we should see this line converge to the
company's sales level. In 4Q23, the Company's net revenue totaled R$278.7 million, 5.8% higher than in 4Q22,
because of higher sales volume and the evolution of the pipeline of the projects that make up this line.

Adjusted gross profit is a non-accounting measure used by the Company, calculated through the gross profit added to the financial costs of production financing,
which are capitalized in the costs of real estate sold and recognized according to the proportionality of the units sold. Add itionally, adjusted gross margin is calculated
by dividing adjusted gross profit from net income.
Gross Prof it in 4Q23 was R$ 54.4 million, corresponding to a gross margin of 19.5%. Although stable, we would like
to point out that upon reaching the inf lection point in 2Q23, we committed to gradually increase the margin over the
quarters and, to date, we have presented a recovery of 2.6 p.p. We would like to reinf orce that this commitment is
maintained and renewed, and that by the end of 2024 we should see the margin during next quarters return to
Company’s historical level.
Adjusted gross prof it totaled R$67.1 million in 4Q23, 5% lower than R$70.7 million in 3Q23, given the lower volume
of f inancial charges incurred in the quarter. From an annual perspective, gross profit of BRL 237.1 million was in line
with R$ 244.4 million in 2022, with an adjusted gross margin of 25.6%.
In 2023, commercial expenses totaled R$52.5 million, a reduction of 21.8% compared to 2022, demonstrating the
capacity and ef f iciency of the Mitre team in allocating resources and signif icantly improving our launch expenses
indicator, reduced f rom 4.8% in 2022 to 3.1% in 2023. When analyzing the quarter, expenses rose 21.2% in the
4Q23 vs 4Q22 comparison, a f actor explained by the impact of the launch of the Haus Mitre Edition NY.
I G&A
In 2023, these expenses were reduced by 15.6%, consolidating our commitment to reduce administrative expenses
and not exceed the R$ 100 million mark. In 4Q23, general and administrative expenses totaled R$27.5 million, 5.7%
higher than the R$26.0 million in 3Q23 and 24.3% better than the R$36.3 million in 4Q22. This real reduction in
annual G&A endorses our position of maintaining ourselves as one of the most ef f icient companies in our market,
given our G&A indicator in relation to PSV launched, which went f rom 7.6% in 2022 to 5.3% in 2023, an improvement
of 2.3 p.p.

As a result, Adjusted EBITDA, which considers the reversal of the f inancial costs of production -related f inancing, was
R$36.5 million, 10.7% higher than in 3Q23 and 29.5% higher than R$28.9 million in 4Q22. In the annual view, the
indicator totaled R$ 160.8 million in 2023, an increase of 113.7% compared to 2022. In this sense, the adjusted
EBITDA margin in 4Q23 was 13.1%, 1.2 p.p. higher than in 3Q23 and 2.4 p.p. higher than in 4Q22, which was 10.7%.
The annual margin closed at 17.4%, 7.4 p.p. better than the 9.9% in 2022.
EBITDA, in turn, closed at R$ 23.7 million in the quarter and a margin of 8.5%, representing an increase of 47.3%
compared to 3Q23 and 26.9% over 4Q22, with R$ 18.7 million. In the annual perspective, EBITDA increased f rom
R$ 52.2 million in 2022 to R$ 107.8 million in 2023. As a result, the EBITDA margin in 2023 was 11.6%, compared
to 6.9% in 2022, an improvement of 4.7 p.p.
The net f inancial result ended the year positive at R$11.6 million, 2x better than the result of the previous year,
positively impacted by the ef f ect of the Total Return Swap. In 4Q23, the f inancial result was -R$ 2.1 million, compared
to -R$ 1.3 million in 4Q22, remaining nominally stable.

We ended the year with a net prof it of R$ 90.4 million, a result 159.5% higher than in 2022. In addition, in 4Q23 we
reached R$13.6 million in results, a growth of 41.4% vs. 4Q22. The company's net margin reached 9.8% in the year,
an increase of 5.2 p.p., compared to the previous year.
¹ ROAE (Return On Average Equity) is the net income divided by the average shareholders' equity of the Company (calculated by the average betwe en the
shareholders' equity of the current year and the shareholders' equity of the immediately preceding period).
ROE, an important indicator f or the Company, reached 8.9% in the last twelve months, 5.4 p.p. higher than in 4Q22.
In our earnings reports, we always highlight the Company’s main driver being the generation of value f or its
shareholders through a correctly balanced capital structure. We envision achieving a double -digit ROE and believe
we are on the right track to do so, as we carry out the constant exercise of evaluating the best prof itability alternatives
applicable to the Company's moment. As an example, in 4Q23 we completed the sale of equity interests in 3 projects,
through a structured operation which generated results of R$ 17.3 million in the quarter. As a company, we see that
the best indicator of value generation is the increase in our ROE and such operati ons are important generators of
unlocking f uture value.
Def erred revenue at the end of 4Q23, net of cancellations, was R$ 781.1 million, 13.3% lower than in 3Q23, impacted
by the deconsolidation of projects sold, as exemplif ied in the topic above. The budgeted cost to be appropriated, in
turn, totaled R$493.3 million in the quarter, compared to R$593.1 million in 3Q23, also inf luenced by the previous
changes mentioned. Thus, the margin to be appropriated (REF Margin) closed at 36.8% in 2023, marking a gain of
2.6 p.p. compared to 3Q23 and is linked to a gross result to be appropriated of R$ 287.8 million. Also, it is important
to point out that the entry of the 2023 projects in the result to be appropriated, especially the Haus Mitre Edition NY,
also contributes signif icantly to the improvement of the indicator, since they have more attractive margins (above the
30% level).

I Receivables
The accounting balance in accounts receivable at the end of 4Q23 was R$787.8 million, down 3.7% f rom R$818. 2
million in 3Q23. The reduction in the balance of this line is due, exceptionally, to the method of recognition of
receivables f rom projects involved in the sale of equity interests, which are no longer part of this balance. On the
other hand, such projects are still ref lected in the annual results since the sale took place only in 4Q23. At the end of
4Q23, the f inancial value of the portf olio totaled R$1.6 billion. In addition, we emphasize that the LTV ("loan to value")
remains at an excellent level, at 38.9%, which means that Mitre’s client pays, on average, 61.1% of his property at
the time of delivery. In addition to the excellent LTV, our delinquency ratio remains extremely low, equivalent to just
0.14% of the portf olio. The accounts balance receivable balance is distributed as f ollows :

At the end of 2023, the Company recorded net debt of R$456.0 million. The dif f erence between the values of 2023
vs. 2022 is due to the higher volume of production f inancing, which is natural in a year in which the Company had its
highest volume of works in progress and more contracts f or the projects launched, so this is a debt considered healthy
given the volume of our operation. We remind you that this is a debt with a cost below the CDI and 100% linked to
the receivables of the projects, which cover in 2,1x times the total of production f inancing contracts .
In addition, we remain comf ortable with the Company's indebtedness due to the f low of transf ers f rom projects
delivered/under delivery, which should equalize cash generation and contribute to the reduction of net debt, already
started in 4Q23, as illustrated in the chart below and observed when analyzing the Company's leverage, which
increased f rom 49.1% in 3Q23 to 44.4% in 4Q23, down 4.7 p.p. As a result, inthe last quarter of 2023 we generated

its investors and the market in general.
In 4Q23, we delivered 03 projects and 712 units and throughout 1Q24, we will deliver 06 more projects totaling 1,386
units, which will f urther contribute to our cash generation in the short and medium term. We expect, due to these
transf ers, to reach the level of additional R$ 378 million in cash inf lows throughout 2024, mainly in Q1 and Q2.

In 2023, we renewed our short-term ESG commitments and goals, developed initiatives, and reevaluated processes
in order to evolve the Company's management level. As examples, we approved our Climate Change policy, which
establishes the Company's commitment to the management of greenhouse gas emissions and climate risks and
opportunities; and we approved our Data Governance and Protection policy, reinf orcing our commitment to protecting
the personal data used in our activities.
The set of practices developed and improved contributed to the company's selection f or the 2024 portf olio of the
Corporate Sustainability Index (ISE) – an important B3 index used as a ref erence f or ESG investments – and to the
improvement of the CDP Climate Change score with a B- score in 2023, compared to a C score in 2022. As a result,
we are among the best perf ormers in the sector in the country, which demonstrates our commitment and evolution
in the management of issues related to climate change.
In addition, we publish our sustainability annual report, which has been externally assured since 2023 (base year
2022); we prepared and published our inventory of greenhouse gas emissions, externally verif ied since 2023 (base
year 2022), and available in the Public Emissions Registry; of f set our direct and indirect emissions f rom energy
purchases (scopes 1 and 2); we report our alignment with the recommendations of the TCFD (Task Force on Climate -
Related Financial Disclosures) within the sustainability rep ort; we responded to the CDP Climate Change
questionnaire; we responded to the UN Global Compact Communication of Progress, in which we have been
participants since the beginning of 2022.
