DEFINITIONS
Contract: a legally enforceable agreement that is a bargained-for promise; An agreement whereby one
promises to do or refrain to do something in exchange for a benefit
Performance of a contract: The act of discharging one’s duties under the Contract.
A material breach: a significant failure to perform one’s obligations under a contract. In the event of material
breach, the non-breaching party is excused from performance and may seek compensation from the
breaching party.
Consideration: A performance or a return promise that is bargained for: that is sought by the promisor in
exchange for his promise & is given by the promisee in exchange for that promise.
Compensatory damages = Damages designed to put the plaintiff in the position he would have been in, had
the contract been performed.
Liquidated damages = A sum of money, specified in the Contract that will be paid in case of breach of

Punitive damages = A sum of money in excess of the damages suffered by the Plaintiff
Expectations damages = Damages the Plaintiff would have obtained, had the Contract been performed

Felony: équivalent d’un crime mais attention cela est plus large qu’en droit français car le critère n’est pas
supérieur à 10 ans de réclusion ou de détention mais un an.
Misdemeanour: délit au sens pénal du terme. Attention la dichotomie crime/délit n’est pas la même qu’en
droit français.
Specific intent crime: infraction requérant un dol spécial, crimes ou délits au sens pénal
General intent crime: infraction requérant un simple dol général ou même certaines infractions
d’imprudence.
Mens Rea: Élément moral du crime soit (dol général + dol spécial) soit (dol général) ou même une
imprudence qualifiée)
Strict liability crime: une infraction matérielle, ne nécessitant pas d’élément moral.
Robbery: Braquage
Burglary: cambriolage
Entrapment: piège, provocation à l’infraction: recevable comme défense si le défendeur n’était pas déjà
prédisposé à commettre l’infraction.

Agency Relationship : une relation de mandat. Attention « Agency law » implique un domaine plus large avec
des effets plus important que le droit de mandat en droit français. La base de droit des sociétés Américain
trouve son origine dans le concept d’agency law et des obligations que doivent les mandataires à l’endroit de
leurs mandants.
Agency: relation d’obligations entre le mandant et son mandataire (plus large qu’au sens du droit français)
