AVIS D’APPEL D’OFFRES A INVESTISSEURS

N° 01/MTEER/2021

Dans le cadre de la politique nationale de la transition énergétique et du développement des

énergies renouvelables et en application des dispositions du décret exécutif n° 17-98 du 26
février 2017, modifié et complété, définissant la procédure d’appel d’offres pour la production
des énergies renouvelables ou de cogénération et leur intégration dans le système national
d’approvisionnement en énergie électrique, le Ministère de la Transition Energétique et des
Energie Renouvelables lance l’Appel d’Offres à Investisseurs pour la réalisation du projet
« Solar 1000 MW ».
OBJET
1. Le projet « Solar 1000 MW » consiste en la constitution de Sociétés de Projets (SPV)
chargées de réaliser un projet de centrales solaires photovoltaïques d’une capacité
totale de 1000 MWc réparties sur le territoire national algérien en lots de 50 à 300 MWc
chacun, et dont l’échéancier de réalisation est précisé dans les documents de l’Appel
d’Offres à Investisseurs.
2. Les sites destinés à l’implantation des installations de production de l’électricité à partir
de sources d’énergies renouvelables seront mis à la disposition des sociétés de projet,
par la Société Algérienne des Energies Renouvelables dénommée « SHAEMS, Spa »,
3. La Société Algérienne des Energies Renouvelables « SHAEMS, Spa » est chargée par le
Ministre de la Transition Energétique et des Energies Renouvelables, du traitement de
l’Appel d’Offres à Investisseurs du Projet Solar 1000 MW, conformément à la décision
n° 07 du 28 novembre 2021, pour la préparation et le traitement de l’appel d’offres à
investisseurs, pour la réalisation dudit projet, conformément aux dispositions suivantes :
3.1. Les Sociétés de Projets seront chargées du développement, du financement, de la
conception, de la fourniture d’équipements, de la construction, de l'exploitation et
de la maintenance des centrales solaires photovoltaïques, de la réalisation des
installations d’évacuation et de raccordement aux réseaux électriques des dites
centrales ainsi que la commercialisation de l'électricité produite à partir de ces
centrales et ce, conformément aux lois et règlementations en vigueur en Algérie
ainsi qu’aux dispositions des documents contractuels.
3.2. La société SHAEMS s’associera dans ce Projet avec l’Investisseur retenu par une
prise de participation au capital social des Sociétés de Projet, soit seule, soit en
association avec des entreprises publiques et /ou privées. Les centrales solaires
photovoltaïques de chacun des Lots seront développées par la Société de Projet
attributaire du lot concerné.
3.3. La commercialisation de l'électricité produite se fera à travers un Contrat de Vente
et d'Achat d'Electricité (Power Purchase Agreement PPA), conclu pour une durée
d’exploitation de vingt-cinq ans (25) ans pour chacune des centrales, entre la
Société de Projet et l’Acheteur désigné.

EXIGENCES ET CONDITIONS DE PARTICIPATION

1. La participation au présent Appel d’Offres à Investisseurs est ouvert à toute
personne physique ou morale, seule ou en groupement, qui :
− Mobilise les financements nécessaires à la réalisation du projet Solar 1000
MW selon les dispositions citées à l’alinéa 3.1 ;
− Justifie de références avérées dans le développement et le montage de
projets de centrales de production indépendante d’électricité (mode IPP,
notamment, de sources renouvelables) ;
− Dispose de capacités pour l’exécution de toutes les prestations requises pour
ce type de projet.
2. Les Investisseurs intéressés, par la réalisation de ce projet, devront assurer le
développement, le financement, la conception, la fourniture d’équipements, la
construction, l'exploitation et la maintenance de ces centrales, la réalisation des
installations d’évacuation et de raccordement aux réseaux électriques, ainsi que la
commercialisation de l'électricité produite à partir de ces centrales ;
3. La participation à l’Appel d’Offres à Investisseurs est conditionnée, par le respect du
pourcentage minimum d’exigence de contenu local, par type de produit et de
services locaux, mentionnés dans les documents de l’Appel d’Offres à Investisseurs.
4. Un membre d’un groupement ne peut pas faire partie d’un autre groupement parmi
les Soumissionnaires à ce projet.
5. Chaque candidat peut soumissionner pour un ou plusieurs lots totalisant une
capacité cumulée maximale de 300 MW.

RETRAIT DU CAHIER DES CHARGES

Les Investisseurs intéressés, par cet Appel d’Offres à Investisseurs, doivent confirmer leur
intention du retrait de cahier des charges, par lettre à adresser à la société SHAEMS,
accompagnée du justificatif de paiement scanné, par voie électronique, à l’adresse suivante :

Le justificatif de paiement doit mentionner le compte à créditer visé par la banque du candidat
d’un montant non remboursable de Cent Quarante Milles de Dinars Algériens (140 000 DA) au
compte courant bancaire N° 002 00005 0052200083 84 de SHAEMS Spa ou Mille Dollars US
(1000 USD) au compte bancaire en devises USD N° 002 00005 0053000020 53 de SHAEMS
Spa, ouverts auprès de la Banque Extérieure d’Algérie– Agence Hydra Djenane El Malik,
Hydra –Alger.
A la réception des documents cités ci-dessus, SHAEMS communiquera à l’Investisseur intéressé
le rendez-vous pour le retrait du cahier des charges.

REUNIONS DE CLARIFICATION
Conformément aux dispositions du cahier des charges, des réunions de clarification se
tiendront avant la date de remise des Offres Techniques et Financières de ce projet avec les
candidats ayant retiré le cahier des charges afin de leur apporter toutes les informations et
clarifications nécessaires à la préparation et l’établissement de leurs Offres.

REMISE DES OFFRES

Les Offres du Projet Solar 1000 MW doivent comporter une Offre Technique et une Offre
Financière.
Chaque Offre est insérée dans une enveloppe fermée et cachetée, indiquant la référence et
l’objet de l’Appel d’Offres à Investisseurs ainsi que la mention Offres Techniques (Projet Solar
1000 MW) ou Offres Financières (Projet Solar 1000 MW), selon le cas.
L’offre financière devra contenir le modèle économique proposé par le soumissionnaire ayant
servi au calcul du prix du KWh de chaque centrale.
Les soumissions à l’Appel d’Offres à Investisseurs se font en une seule phase avec une remise
concomitante des Offres Techniques et Financières.

VALIDITE DES OFFRES

La durée de validité des Offres Techniques et Financières du Projet Solar 1000 MW de l’Appel
d’Offres à Investisseurs est de cent quatre-vingt (180) jours à compter de la date de remise des
Offres.

DEPOT ET OUVERTURE DES PLIS DES OFFRES

Les Candidats doivent remettre leurs Offres Techniques et Financières le 30 avril 2022 à 10h00
(heure locale) heure limite à l’adresse ci-après :
Salle des conférences, Tour B, Immeuble Cité Chabani, Val d’Hydra, Alger.

L’ouverture des plis des Offres Techniques aura lieu le 30 avril 2022 à partir de 10h00 (heure
locale). L’ouverture des plis s’effectuera en deux étapes :

− Première étape : ouverture des plis des Offres Techniques ;

− Deuxième étape : ouverture, à une date ultérieure, des plis des Offres Financières des
soumissionnaires dont les Offres Techniques ont été retenues.

GARANTIES BANCAIRES
a. Caution de soumission :
Les Offres Techniques et Financières doivent être accompagnées des pièces administratives
exigées dans le cahier des charges de l’Appel d’Offres à Investisseurs et des cautions de
soumission comme suit :
Pour les investisseurs de droit étranger :
− d’un montant de Cinq Cent Mille USD (500 000 USD) émanant d’une Banque légalement
domiciliée en Algérie pour chacun des Lots du Projet Solar 1000 MW.
− Les originaux des cautions de soumission, doivent être insérés dans le dossier de
soumission de l’Appel d’Offres à Investisseurs.
Pour les investisseurs de droit algérien :
− d’un montant de Soixante-dix Millions de dinars algériens (70 Millions DA) émanant
d’une Banque légalement domiciliée en Algérie pour chacun des Lots du Projet Solar
1000 MW.
− Les originaux des cautions de soumission, doivent être insérés dans le dossier de
soumission de l’Appel d’Offres à Investisseurs.

Pour les Offres constituées d’investisseurs de droits algériens et étrangers

− Les cautions de soumission seront remises en devises pour l’investisseur de nationalité
droit étranger et en dinars pour l’investisseur de droit algérien au prorata des
participations de chacun des investisseurs.
La caution de soumission est libérable contre remise par le Soumissionnaire retenu de la
caution de garantie d’Investissement.

b. Caution de garantie d’Investissement :

Le montant de la caution de garantie d’Investissement est fixé à dix pour cent (10 %) du
montant du total des dépenses d’investissement. Cette caution est remise, par le
Soumissionnaire retenu, pour chaque Centrale à la Clôture Financière, et sera libérée à la mise
en service de la Centrale.

EVALUATION DES OFFRES

− Les Offres Techniques et financières seront évaluées selon la procédure d’évaluation
décrite dans les documents du présent Appel d’Offres à Investisseurs. Le résultat de
cette évaluation sera communiqué à tous les Soumissionnaires.
− Les soumissionnaires retenus à l’issue de l’évaluation des Offres Techniques seront
invités à la séance d’ouverture des plis des Offres Financières.
− A l’issue de la vérification et de l’évaluation des offres financières, les soumissionnaires
retenus seront attributaires des marchés pour chaque lot. Cette attribution se fera sur
la base du prix le plus bas par rapport au prix plafond.
− A l’issue de l’évaluation ultérieure des Offres Financières, le Soumissionnaire retenu
recevra une notification écrite d’acceptation de son Offre, contenant le Prix du kWh issu
du modèle économique d’évaluation de l’Appel d’Offres à Investisseurs.
Tous les soumissionnaires non retenus, à l’issue de l’évaluation des Offres Financières
seront, également, tenus informés.
Les Offres Financières des soumissionnaires dont les Offres Techniques ont été jugées
non conformes leur seront restituées, sans être ouvertes.

CALL FOR TENDERS TO INVESTORS ANNOUNCEMENT

No. 01/MTEER/2021

Within the framework of national policy for energy transition and renewable energy
development and, in application of the provisions of executive decree no. 17-98 on 26 February
2017, amended and completed, defining tender procedure for the renewable energy generation
or cogeneration and their integration into national electricity supply system, The Ministry of
Energy Transition and Renewable Energies launches the Call for Tenders to investors, for the
implementation of the project "Solar 1000 MW ».
Subject
1. The "Solar 1000 MW" project consists of the establishment of Project Companies (Special
Purpose Vehicles SPVs) charged of the implementation of photovoltaic solar power
plants project with a total capacity of 1000 MWp distributed on national Algerian
territory in lots of 50 to 300 MWp each, and for which the implementation schedule is
specified in the documents of Call for Tenders to Investors.
2. The sites intended for the implementation of electricity generation plants from renewable
energy sources will be made available to project companies, by the Algerian Company of
Renewable Energies called "SHAEMS, Spa",
3. The Algerian Renewable Energy Company "SHAEMS, Spa" is in charge, by the Energy
Transition and Renewable Energies Minister, to conduct the processing of Call for
Tenders to Investors of project Solar 1000 MW, in accordance with the decision No. 07
of 28 November 2021, for the preparation and processing of the call for tenders
to investors, to realizing the said project according to the following provisions:
3.1. The Project Companies will be responsible for development, financing, design,
equipment’s procurement, construction, operation and maintenance of the
photovoltaic solar power plants. Also, the realization of the required power
evacuation infrastructures and the connection of the said plants to the electricity
networks, as well as commercializing the produced electricity from
aforementioned power plants in accordance with the Algerian laws and
regulations in force, and provisions of the contractual documents.
3.2. SHAEMS will be associated in this Project with the selected Investor by means of
acquiring a stake in the share capital of the Project Companies, either alone or in
association with public and/or private companies. The photovoltaic solar power
plants for each lot will be developed by the Project Company to which the
respective lot is attributed.
3.3. The produced electricity will be commercialized through a Power Purchase
Agreement (PPA), concluded for an operating period of twenty-five years
(25years) for each of the plants, between the Project Company and the Designated
Buyer.

REQUIREMENTS AND CONDITIONS OF PARTICIPATION

1. Participation in this Call for Tenders to Investors is open to any natural or legal person,
either alone or through a grouping, who:
− Mobilizes the necessary funds for the realization of the Solar 1000 MW project
according to the provisions mentioned in paragraph 3.1;
− Demonstrates proven credentials in the development and setting-up of
independent power plants projects (IPP mode, particularly from renewable
sources) ;
− Has the capacity to carry out all the required benefits for this type of project.
2. Investors interested in carrying out this project will have to ensure the development,
financing, design, equipment’s procurement, construction, operation and
maintenance of these plants, the construction of power evacuation infrastructures
and connecting aforementioned plants to the electricity networks, as well as
commercializing the produced electricity from these plants;
3. Participation in the Call for Tenders to Investors is conditional upon compliance with
the minimum percentage requirement of local content, by type of product and of
local services, mentioned in the specifications document of the Call for Tenders to
Investors.
4. A member of a grouping may not be part of another grouping among the Bidders for
this project.
5. Each candidate may bid for one or more lots totaling a maximum cumulative capacity
of 300 MW.

WITHDRAWAL OF THE SPECIFICATIONS

The investors interested in this Call for Tenders should confirm their intention to withdraw the
specifications by addressing a letter to the company SHAEMS with attaching a scanned copy of
payment proof through the following e_mail: solar1000MW@shaems.dz
The payment receipt must show the candidate’s account to be credited, endorsed by the bank
with a non-refundable amount of One Hundred Forty Thousand Algerian Dinars (140,000 DA)
to the bank current account of SHAEMS Spa No. 002 00005 0052200083 84, or One Thousand
US Dollars (1000 USD) to the foreign currency bank account of SHAEMS Spa No. 002 00005
0053000020 53, opened at the “Banque Extérieure d'Algérie” –Hydra Agency, Djenane El
Malik, Hydra – Algiers.
following the reception of the above-cited documents, SHAEMS will communicate to the
concerned Investor the appointment for the withdrawal of the specifications.

CLARIFICATION MEETINGS
In accordance with the provisions included in the specifications document, clarification
meetings will be held, before the date of submission of the Technical and Financial Offers of this
project, with the candidates who have withdrawn the specifications in order to provide them
with all the necessary information and clarifications for the preparation and establishment of
their Tenders.

Solar 1000 MW Project Offers must include a Technical Offer and a Financial Offer.
Each Tender shall be enclosed in a sealed envelope, indicating the reference and purpose of the
call of Tenders and the indication Technical Offers (Solar 1000 MW Project) or Financial Offers
(Solar 1000 MW Project), as appropriate.
The financial tender must contain the economic model proposed by the bidder, which was used
to calculate the price per KWh of each power plant.
Tenders to Investors are made in a single phase with a concomitant delivery of Technical and
Financial Offers.
VALIDITY OF OFFERS

The validity period of the Technical and Financial Offers of the Solar 1000 MW Project of the
Call for Investors is one hundred and eighty (180) days from the date of submission of Offers.

DEPOSIT AND OPENING OF BIDS

Candidates must submit their Technical and Financial Offers on April 30, 2022 at 10:00 a.m.
local time to the following address:
Conference Room, Tower B, Chabani City Building, Val d’Hydra, Algiers.

SUBMISSION AND OPENING OF TENDER ENVELOPES

Bidders must submit their Technical and Financial Offers before deadline date on April 30th,
2022 at 10:00 am (local time) to the following address:
Salle des conférences, Tour B, Immeuble Cité Chabani, Val d’Hydra, Alger.

The opening of the Technical Offers will take place on April 30, 2022 from 10:00 a.m. (local
time). The opening of the folds will take place in two steps:

− First step : opening the folds of the Technical Offers ;

− Second step: opening, at a later date, of the folds of Financial Offers of the bidders whose
Technical Offers have been accepted.

BANK GUARANTEES
a. Bid Bond:
The Technical and Financial Tenders must be accompanied with the administrative documents
required in the specifications of the Call for Tenders to Investors as well the tender bonds as
following:
For investors under foreign law:
− An amount of Five Hundred Thousand USD (USD 500,000) from a Bank legally
domiciled in Algeria for each of the batches of the 1000 MW Solar Project.
− The originals of the bid bonds must be attached with the tender documents of the Call
for Tenders to Investors.
For investors under Algerian law:
− An amount of Seventy Million Algerian Dinars (70 Million DA) from a Bank legally
domiciled in Algeria for each of the batches of the 1000 MW Solar Project.
− The originals of the bid bonds must be attached with the tender documents of the Call
for Tenders to Investors.

For Offers of groupings made up of domestic and foreign investors

− The bid bonds must be remitted in foreign currency for the investor of foreign
nationality and in dinars for the Algerian investor in proportion to the shareholding of
each investor.
The bid bond is releasable against delivery by the Selected Bidder of the Investment Guarantee
bond.

b. Investment Guarantee bond:

The amount of the Investment Guarantee bond is set at ten percent (10%) of the amount of total
investment expenditure. This deposit is remitted, by the Selected Bidder, for each power plant
at the Financial Deal Closing, and will be released at the commissioning of the power plant.

EVALUATION OF TENDERS
− The Technical and Financial Offers will be evaluated according to the evaluation
procedure described in the documents of this Investor Tender. The result of this
evaluation will be communicated to all Bidders.
− The selected bidders after the Technical offers evaluation will be invited to the Financial
offers session.
− Following the financial Offers verification and evaluation, selected bidders will be
awarded contracts for each batch. This allocation will be made on the basis of the lowest
price compared to the ceiling price.
− Following the Financial Offers subsequent evaluation, the selected bidder will receive a
written notification of acceptance of its Offer, containing the Price per kWh resulting
from the economic model of evaluation of the Call for Tenders to Investors.
All unselected bidders, following the evaluation of the Financial Offers will also be kept
informed on this matter.
The Financial Offers of bidders, whose Technical Offers are not compliant with the
specifications, will be returned to them without being opened.

‫‪ −‬برر مرجعا مثبتا يف تطوير وتركيب مشاري ع محطات اإلنتاج المستقلة ( ‪ ،IPP‬ال سيما من‬
‫المصادر المتجددة) ‪.‬‬
‫‪ −‬ل ديه القدرة عىل تنفيذ كل الخدمات المطلوبة لهذا النوع من المشاري ع ‪.‬‬
‫المشوع ‪ ،‬ضمان تطوير‪ ،‬تمويل ‪ ،‬وتصميم ‪ ،‬تموين‬ ‫ر‬ ‫‪ . 2‬يجب عىل المستثمرين ‪ ،‬المهتمي بتنفيذ هذا‬
‫التجهبات‪ ،‬بناء‪ ،‬استغالل وصيانة هذه المحطات‪ ،‬إنجاز منشآت الترصيف وال ربط بالشبكات‬
‫الكهربائية ‪ ،‬وكذا تسويق الكهرباء المنتجة من هذه المحطات ‪.‬‬

‫تقييم العروض‬
‫‪ −‬يتم تقييم العروض التقنية والمالية حسب اإلج راء الم بي يف وثائق طلب عروض للمستثمرين‬
‫هذا‪ .‬سيتم إرسال نتيجة هذا التقييم إىل جميع المتعهدين ‪.‬‬
‫‪ −‬س ت تم دعوة المتعهدين الفائزين خالل تقييم العروض التقنية إىل جلسة فتح أظرفة ا لعروض‬
‫المالية ‪.‬‬
‫‪ −‬بعد التحقق من العروض المالية وتقييمها ي منح المتعهدون الفائزون ال صفق ات لكل حصة ‪ .‬سيتم‬
‫هذا المنح عىل أساس أدن سعر بالنسبة للسعر المسقف ‪.‬‬
‫ر‬
‫يتلق المتعهد الفائز إشعا را كتابيا بقبول عرضه ‪،‬‬ ‫‪ −‬بعد ال تقييم ال الحق للعروض المالية سوف‬
‫ساع ( ‪ )KWh‬الناتج من النموذج االقتصادي لتقييم طلب عروض‬
‫ي‬ ‫يتضمن سعر كيلوواط‬
‫للمستثمرين ‪.‬‬
‫سي تم أيضا إعالم جميع المتعهدين غب الفائزين نتيجة ل تقييم العروض المالية ‪.‬‬
‫اعتبت عروضهم التقنية غب مطابقة ‪ ،‬دون أن يتم‬
‫ر‬ ‫ست عاد العروض المالية للمتعهدين‪ ،‬الذين‬
‫فتحها‪.‬‬
