CONDITIONS GENERALES D’UTILISATION

Les présentes conditions générales ont pour objet de définir les conditions et modalités d’utilisation de l’application
S2A/Testing (ci-après « les Conditions ») dont la société SALOMON S.A.S., au capital de 34.109.980,45 euros, située
14, chemin des Croiselets, ZA des Croiselets, 74370 Metz-Tessy, immatriculée sous le n°325 820 751 au Registre du
Commerce et des Sociétés d’Annecy (ci-après « SALOMON »), est l’éditeur.

L’accès et l’utilisation de l’application mobile S2A/Testing sont subordonnées à l’intérêt de l’UTILISATEUR au

monde du sport en général et à tout ce qui a trait aux activités suivantes : ski alpin, ski de fond, snowboard, road
running, trail running, randonnée, sports de raquette, cyclisme et alpinisme, à sa compétence et son souhait pour
pratiquer des essais, dits statiques ou dynamiques, de façon bénévole, avec les produits fournis par SALOMON et,
éventuellement les accessoires correspondants, en lien avec les activités sportives renseignées par l’UTILISATEUR.

1 - CONDITIONS GENERALES DES ESSAIS

L’UTILISATEUR accepte de tester les produits fournis par SALOMON et liés aux activités sportives qu’il aura
renseignées et qui pourront consister en des :
- produits de la marque SALOMON, WILSON, ARC’TERYX et MAVIC disponibles sur le marché,
- nouveaux produits SALOMON, WILSON, ARC’TERYX et MAVIC ou produits non encore disponibles sur
les marchés incluant des prototypes et/ou des pré-séries,
- produits concurrents de ceux de la marque SALOMON, WILSON, ARC’TERYX et MAVIC.

Les essais sont organisés et définis par SALOMON.

EN OUTRE, SUR AUTORISATION DE SALOMON, L’UTILISATEUR POURRA EFFECTUER DES

ESSAIS EN UTILISANT SES PROPRES METHODES. TOUTEFOIS, IL N’A PAS LE DROIT D’UTILISER
LES PRODUITS MIS A SA DISPOSITION DANS LE CADRE DE COMPETITION, COURSE ET D’UNE
MANIERE PLUS GENERALE DANS LE CADRE DE TOUT EVENEMENT LIE AUX ACTIVITES
SUSMENTIONNEES, SAUF ACCORD PREALABLE ET EXPRES DE LA PART DE SALOMON.

L’UTILISATEUR est toujours libre de participer ou de ne pas participer aux essais auxquels il est convié par
SALOMON, mais également d’interrompre ou de stopper sa participation à un essai en cours ou de refuser de tester
un produit.

L’UTILISATEUR accepte que le test inclût ou consiste en des évaluations purement marketing (couleurs, appellations,
etc…).

L’UTILISATEUR s’engage à établir et/ou de laisser SALOMON établir un rapport pendant et/ou après l’essai
contenant toutes les informations qu’il aura fournies à SALOMON sur les produits et les évaluations marketing, ses
suggestions, ses remarques, ses impressions notamment en termes de confort, de maniabilité, de performance et de
durabilité.

L’UTILISATEUR accepte qu’il soit procédé, pendant les essais à des enregistrements et prises de vue (vidéo ou
photo-shooting) et donne par les présentes l’autorisation à SALOMON, aux sociétés affiliées au Groupe AMER
SPORTS et leur cocontractants de les utiliser pour la promotion interne et externe des marques, produits et activités de
SALOMON, et ce, dans le monde entier sur tout support existant ou à découvrir et par tout mode de communication
existant ou à découvrir, pour une durée de cinq (5) ans.
SALOMON s’engage à cet égard à respecter l’image de l’UTILISATEUR.

2 – CONFIDENTIALITE - PROPRIETE

a) Les produits mis à la disposition de l’UTILISATEUR par SALOMON dans le cadre des présentes Conditions
restent la propriété de SALOMON, l’UTILISATEUR s’engage à les restituer à première demande de SALOMON.
Cependant, L’UTILISATEUR en a la responsabilité et s’engage à prendre toutes les dispositions nécessaires pour
en assurer la confidentialité et la sécurité, en particulier, vis-à-vis de tiers.

b) L’UTILISATEUR pourra avoir accès à des informations techniques, esthétiques et commerciales ainsi qu’aux
résultats des essais et pourra obtenir notamment et sans restriction des informations verbales et visuelles relatives
aux pièces, produits, prototypes, procédés, maquettes, matériaux, dessins, coloris, etc.( ci-après « lesdites
informations » et « lesdits résultats »).

L’UTILISATEUR reconnaît que lesdites informations et lesdits résultats sont la propriété exclusive et
confidentielle de SALOMON et que c’est en toute confiance qu’ils lui sont communiqués. Lesdites informations et
lesdits résultats restent la propriété de SALOMON et doivent lui être immédiatement restitués après chaque essai
sans que l’UTILISATEUR ne puisse en conserver de photos, copies, photocopies ou équivalents.

Par ailleurs, l’UTILISATEUR s’engage à ne prendre aucune photo et/ou vidéo durant les essais ainsi qu’à ne pas
communiquer aux tiers l’existence et les conditions desdits essais, et notamment sur les réseaux sociaux.

L’UTILISATEUR s’engage à respecter la confidentialité desdites informations et desdits résultats et à ne les

utiliser à aucune fin que ce soit.

c) En outre, dans le cadre des présentes Conditions, l’UTILISATEUR cède à SALOMON, aux sociétés affiliées au
Groupe AMER SPORTS, la propriété pleine et entière de tous les droits cessibles sur les résultats ayant leur
origine sa participation aux essais, en ce inclus les commentaires, les suggestions d’amélioration,
etc….SALOMON et les sociétés affiliées au Groupe AMER SPORTS ont toute latitude pour utiliser et protéger
lesdits résultats à ses propres frais, sans restriction, ni dans l’espace ou le temps, ni en quantité et dispose de tous
les droits de copie, représentation, adaptation et de transformation, diffusion par quelque moyen que ce soit, sous
n’importe quelle forme et dans n’importe quel but.

La présente clause de confidentialité et de non utilisation a une durée de 5 ans.

3 – EXCLUSIVITE – NON CONCURRENCE

PENDANT LA DUREE DES ESSAIS, L’UTILISATEUR S’ENGAGE A N’AVOIR AUCUN RAPPORT

DIRECT OU INDIRECT AVEC DES CONCURRENTS DE SALOMON DANS LES ACTIVITES
MENTIONNEES AU PREAMBULE ET S’ENGAGEA NE PAS EN AVOIR PENDANT LA DUREE
D’EXECUTION DES PRESENTES CONDITIONS.

A L’ISSUE DES ESSAIS, L’UTILISATEUR S’ENGAGE A NE PAS AVOIR DE CONTACTS DIRECTS OU

INDIRECTS AVEC DES CONCURRENTS DE SALOMON, DANS LES ACTIVITES CONCERNEES PAR
LES ESSAIS PENDANT UNE DUREE DE SIX (6) MOIS.

4– ASSURANCES-RESPONSABILITE-ACCEPTATION DES RISQUES-RENONCIATIONS A RECOURS

ET GARANTIES

L’UTILISATEUR RECONNAIT QUE LA PRATIQUE DES SPORTS COMPORTE DES RISQUES DE

BLESSURES ET DE MORT. L’UTILISATEUR DECLARE EXPRESSEMENT ACCEPTER ET ASSUMER
TOUS LES RISQUES DE BLESSURES ET DE MORT POUVANT RESULTER DES ESSAIS REALISES
DANS LE CADRE DES PRESENTES CONDITIONS.

L’UTILISATEUR DECLARE QU’IL N’A AUCUNE CONTRE-INDICATION MEDICALE POUR LA

PARTICIPATION AUX ESSAIS ET QU’IL A SUBI UNE VISITE MEDICALE RECENTE AUPRES D’UN
MEDECIN DU SPORT.

L’UTILISATEUR s’engage à déclarer toute contre-indication médicale survenant en cours d’exécution des présentes
Conditions et en tenir compte dans ses relations avec SALOMON qui précise que l’UTILISATEUR peut toujours
interrompre la coopération ou y mettre fin à tout moment en restant tenu aux obligations de confidentialité propriété et
non concurrence prévues au présentes.

L’UTILISATEUR déclare qu’il possède ou possèdera avant de participer aux essais ses propres assurances incluant sa
garantie individuelle accident (incluant les frais médicaux, rente ou capital invalidité, rapatriement, hospitalisation,
etc…) son rapatriement si nécessaire et sa responsabilité civile à l’égard des tiers.

En conséquence, L’UTILISATEUR renonce et fera renoncer ses assureurs à tout recours en responsabilité ou autre
contre SALOMON, les sociétés affiliées au Groupe AMER SPORTS, leur dirigeants, actionnaires, employés, agents,
directeurs, représentants et ayants droit et ayants cause, quelle qu’en soit la cause et notamment en cas de dommages
corporels ou matériels.

L’UTILISATEUR S’ENGAGE A PRENDRE TOUTES PRECAUTIONS NECESSAIRES POUR NE PAS SE

PLACER OU PLACER DES TIERS DANS DES SITUATIONS SUSCEPTIBLES DE COMPROMETTRE SA
SECURITE OU CELLE DES TIERS. A CET EGARD, L’UTILISATEUR S’ENGAGE NOTAMMENT A :

- PORTER SES EQUIPEMENTS DE PROTECTION,

- RESPECTER LES REGLES DE SECURITE EVENTUELLEMENT APPLICABLES A LA PRATIQUE
OU A L’ENVIRONNEMENT.

DE PLUS, L’UTILISATEUR S’ENGAGE A RESPECTER LES INSTRUCTIONS QUI LUI SERONT

DONNEES PAR SALOMON OU SES REPRESENTANTS LORS DES ESSAIS.

5. MODIFICATIONS DES CONDITIONS GENERALES

Les présentes conditions générales sont consultables sur l’application S2A/Testing. Elles sont susceptibles d'être
modifiées sans autre formalité que la mise en ligne d'une nouvelle version modifiée, seule cette dernière version étant
retenue.

6. RENSEIGNEMENTS – RECLAMATIONS

Toute précision relative à l'application des présentes conditions générales, toute demande d'information ou réclamation
relative au fonctionnement des essais, toute demande d’accès, modification ou suppression des données personnelles
renseignées par l’UTILISATEUR sur l’application S2A/Testing doit être adressée par e-mail à son référent.

7. LOI APPLICABLE – CONTESTATIONS

Les présentes Conditions sont soumises à la loi française. En cas de contestation, ou de problèmes liés à
l’interprétation, l’exécution ou l’inexécution des présentes Conditions et qui ne pourront être réglés à l’amiable dans
des délais raisonnables pourront être soumis aux tribunaux compétents de la juridiction d’Annecy.

TERMS OF SERVICE

The purpose of these terms of service is to define the terms and conditions for the use of the S2A / Testing mobile
application (hereinafter referred to as "the Terms") of which the company SALOMON S.A.S., with a share capital of
34.109.980,45 euros, located at 14, Chemin des Croiselets, ZA des Croiselets, 74370 Metz-Tessy, registered under the
number 325 820 751 in the Register of Commerce and Companies Annecy (hereinafter "SALOMON"), holds the
rights.
The access and use of the S2A / Testing mobile application is subject to the interest of the USER in the world of sport
in general and all that relates to the following activities: alpine skiing, nordic skiing, snowboarding, road running, trail
running, hiking, racquet sports, cycling and mountaineering, his competence and his desire to practice tests, statics
and/or dynamics, on a voluntary basis, with the products provided by SALOMON and, possibly the corresponding
accessories, in connection with the sports activities indicated by the USER.

1 - GENERAL CONDITIONS OF THE TESTS

The USER agrees to test products provided by SALOMON and related to sports activities provided by the USER for
the above-mentioned activities which may consist of:

- SALOMON, WILSON, ARC’TERYX and MAVIC products available on the market;

- new SALOMON, WILSON, ARC’TERYX and MAVIC products or products not already available on the
market including prototypes and/or pre-series;
- SALOMON, WILSON, ARC’TERYX and MAVIC competitors’ products.

The field tests are organized by SALOMON.

MOREOVER, SUBJECT TO SALOMON AUTHORIZATION, THE USER MAY CARRY OUT THE TESTS
AT HIS CONVENIENCE AND USING HIS OWN METHOD. HOWEVER, HE IS NOT ALLOWED TO USE
THE PRODUCTS PROVIDED BY SALOMON DURING A COMPETITION, A RACE OR MORE
GENERALLY DURING AN EVENT LINKED TO THE ABOVE-MENTIONED ACTIVITIES, EXCEPT
WITH PRIOR AND EXPRESS APPROVAL OF SALOMON.

The USER shall always be free to interrupt or stop his test or refuse to test a product.

The USER agrees that the testing may include purely marketing evaluations (colours, names etc..).

The USER accepts to draw up or let have a report drawn up following his tests with the information he has given to
SALOMON concerning the products and the marketing evaluations, his suggestions, remarks, feelings, feed-back,
notably as regards comfort, handling, performance and durability.

The USER accepts that video or photographic images be shot during tests and evaluations and hereby releases all
rights to any such images and recordings of his person, SALOMON, Amer Sports Group affiliated companies and
their contractors are allowed to use them worldwide for the promotion of the SALOMON brands, products and
activities in all media existing or to be discovered and any mode of communication existing or to be discovered, for a
period of five (5) years. SALOMON undertakes to respect the USER’s image.

2 – CONFIDENTIALITY - OWNERSHIP

d) The products made available to the USER by SALOMON within these Terms remain the property of SALOMON,
the USER undertakes at first demand of SALOMON to return them. However, the USER has the custody of the
products and shall take all necessary measures to ensure their confidentiality and security especially vis-à-vis third
parties.

e) The USER might have access to technical, aesthetic and marketing information and also to the tests results and
could be provided among others and without limitation with parts, products, prototypes, models, materials, designs,
colors verbal and visual information etc (hereinafter « said information » and the « said results»).

The USER agrees that the said information and the said results are the exclusive and confidential property of
SALOMON and that they have been received in confidence. The said information and the said results shall remain
the property of SALOMON and immediately be returned after each test without the USER retaining any photos,
photocopies, copies or equivalent.

Furthermore, the USER agrees not to take any photo and / or video during the tests and not to communicate to third
parties the existence and conditions of said tests, including on social networks.

The USER undertakes to retain the secrecy of the said information and said results.

f) Moreover, the USER hereby transfers to SALOMON and Amer Sports Group affiliated companies, the full and
complete ownership of all transferable rights on the results that arise from his participation to the tests, including
comments, suggestion for improvement, etc…. SALOMON and Amer Sports Group affiliated companies shall be
free to use and protect said results at its own expenses without limitation in space-time and quantity and with full
right of copying representation adaptation and transformation by any mean and in any form and for any purpose.

The commitment to confidentiality and refrainment from use shall last for a period of five (5) years.

3 – EXCLUSIVITY – NON-COMPETITION

DURING THE TESTING PERIOD THE USER SHALL NOT HAVE ANY DIRECT OR INDIRECT
RELATIONS WITH SALOMON’S COMPETITORS IN THE ACTVITIES MENTIONED IN PREAMBLE.

AFTER THE TESTING PERIOD THE USER SHALL NOT HAVE DIRECT OR INDIRECT RELATIONS
WITH SALOMON’S COMPETITORS IN THE ACTIVITIES CONCERNED BY THE TESTS FOR
DURATION OF SIX (6) MONTHS.

4 – INSURANCES – LIABILITY – ASSUMPTION OF RISKS -WAIVER – INDEMNIFICATION

THE USER ACKNOWLEDGES THAT SPORT HAS INHERENT RISKS OF INJURY OR DEATH. THE
USER AGREES HEREBY TO EXPRESSLY ASSUME ALL RISKS OF INJURY OR DEATH THAT MAY
RESULT FROM HIS PARTICIPATION TO TESTS.

THE USER DECLARES THAT THERE IS NO MEDICAL REASON FOR HIM NOT TO PARTICIPATE
TO THE TESTS OBJECT OF THESE TERMS AND THAT HE HAS RECENTLY UNDERGONE A
MEDICAL EXAMINATION BY A DOCTOR SPECIALIZED IN SPORTS.

Moreover, the USER shall declare any medical contraindication occurring during a test and take it into account in his
relation with SALOMON which confirms that the USER can always interrupt the relation.
However, in this case, he will still have to respect these Terms about confidentiality, ownership and non-competition.

The USER declares that he has or will have before participating to the tests his own insurances including his
individual guarantee (including medical expenses, disability pension or capital, repatriation, hospital, etc ...), his
repatriation if necessary and his civil liability as regards to third parties.

Moreover, the USER waives and shall ensure his insurers, waive all claims against SALOMON, Amer Sports Group
affiliated companies, their directors, shareholders, employees, agents, successors, assigns, distributors, subsidiaries,
affiliates, parent company, officers or contractors for whatever reason including personal or material damages

THE USER UNDERTAKES TO TAKE ALL MEASURES TO NOT PLACE HIMSELF ORA THIRD
PARTY AT RISK. THE USER NAMELY UNDERTAKES:
- TO WEAR HIS PERSONAL PROTECTIVE EQUIPEMENT;
- TO RESPECT THE SAFETY RULES POSSIBLY APPLICABLE TO THE PRACTICE OR TO THE
ENVIRONMENT.

MOREOVER, THE USER UNDERTAKES TO FOLLOW THE INSTRUCTIONS GIVEN BY SALOMON

AND ITS REPRESENTATIVES DURING THE TESTS.

5. AMENDMENTS TO THE GENERAL CONDITIONS

These Terms are available on the application: S2A / Testing. They are likely to be modified without any other
formality than the putting on line of a new modified version, only this last version being retained.

6. INFORMATION - COMPLAINTS

Any clarification relating to the application of these Terms, any request for information or claim relating to the tests,
any request for access, change or deletion of the personal data entered by the USER on the S2A / Testing application
must be addressed by e-mail to his referent.

7. APPLICABLE LAW - DISPUTES

These Terms are subject to French law. In case of dispute, or problems related to the interpretation, performance or
non-fulfillment of these Terms and which cannot be settled amicably within a reasonable time may be submitted to the
competent courts of the jurisdiction of Annecy.
