PREAMBULE
Attendu que la société GATEWAY EXPORT HANDLING est un opérateur
œuvrant dans le secteur aérien et possédant un aéronef de marque YAK-
40 ayant des spécificités suivantes :
4 Membres d’équipage : 4
Considérant que les besoins exprimés par l’une des parties ont rencontré
l’offre pertinente de l’autre partie, et que la collaboration mutuelle
s’impose, les parties se conviennent de mettre en commun leurs efforts,
moyens et savoir-faire afin de réaliser un projet de transport aérien dont
les termes et l’esprit ont été librement consentis et arrêtés dans le présent
contrat de location
IL A ETE CONVENU ET ARRETE CE QUI SUIT :
a. Le contrat est arrêté à $800 par bloc-heure (dollars américains huit cents)
pour les 70 premières bloc-heures de vol, ce qui fait un minimum de
$56000 (dollars américains cinquante-six mille) à payer anticipativement
chaque mois à la première partie. Toutefois les parties se conviennent à fixer
une bloc-heure de vol à $1100 (dollars américains mille cent) si après un
essai de 10 jours, l’aéronef parvenait à transporter 6 Tonnes de fret par
rotation
Si dans les 7 jours qui suivent l’arrêt des activités, le paiement n’a pas eu
lieu, la première partie est en droit d’adresser une lettre avec accusé de
réception à la deuxième partie, lui signifiant la résiliation du contrat et la
mise en demeure de payer les dettes dues ; et elle devra aussi payer les taxes
et redevances de l’aéroport et réparer tous les préjudices causés par son
comportement
Article 10. Les parties sont tenues d’utiliser l’aéronef en bon père de famille.
En cas de destruction en partie ou en totalité, par négligence ou par légèreté
des agents d’une partie, celle –ci sera dans l’obligation de payer à l’autre les
indemnités de manque à gagner.
Article 12. En cas de force majeur : ouragan, tonnerre, guerre… nul ne sera
tenu responsable. Toutefois, les parties conjugueront des efforts, chacune
dans ses attributions, afin de sauver ce qui peut être sauvé.
Article 13. Avenant : Toute modification au présent contrat fera objet d’un
avenant conclu de commun accord.
Article 14. Si l’une des clauses ou stipulation de ce contrat est tenue en tout
ou en partie pour non valable ou déclarée comme telle, en application d’un
texte législatif ou règlementaire ou par la suite d’une décision définitive
d’une juridiction compétente, elle seule sera réputée ne pas avoir existé.
Article 15. Les parties sont tenues au respect des clauses de ce contrat.
En cas d’abus, la partie lésée devra le signifier à l’autre partie dans une
réunion de mise au point ou encore par une lettre avec accusé de réception.
Et si le désaccord persiste, la partie qui se sent lésée devra écrire à l’autre et
lui demander la conciliation des comptes pour une séparation à l’amiable ?

PREAMBLE
Whereas GATEWAY EXPORT HANDLING is an operator operating in the air
sector and owning a YAK-40 aircraft; having the following specificities:
4. Crew members: 4
Considering that the needs expressed by one of the parties have met the
relevant offer of the other party, and that mutual collaboration is necessary,
the parties agree to pool their efforts, means and know-how in order to carry
out an air transport project whose terms and spirit have been freely agreed
upon and fixed in this lease agreement.
IT HAS BEEN AGREED AND AGREES AS FOLLOWS:
Section 1.– Purpose: The first part makes available to the second part a quick
change aircraft brand YAK-40, registered RA-87227 with its crew composed
of 4 members; which accepts in terms of the ACMI below:
Section 3. The first party undertakes to pay for the insurance of the aircraft,
and to make available the aircrew and other members of the crew.
Section 4. The second party undertakes to bear all airport charges and to
supply the aircraft with fuel throughout the term of this contract; among
others parking fees, routes and landings, freight and handling fees, aircraft
cleaning costs and rental of cargo trucks.
Section 5. The second part will take care of the crew at the time of change of
their base in Goma, the update of their working documents, visas and their
accommodation in JUBA and in the various stopovers. It will provide
catering, transportation and a per diem of $ 40 to each crew member.
Section 6. The first party undertakes to repair all technical failures, both at
the base and in the stopovers and to take care of the crew members in the
event of a technical breakdown of more than 10 days. However, at the
request of the first Party, the second Party may intervene to assist the first
Party. The expenses thus incurred by the second part shall be reimbursed by
the first part.
Section 7. Payments:
a. The contract is stopped at $800 per hour-block (U.S. dollars eight hundred)
for the first 70 flight blocks, making a minimum of $56,000 (fifty-six
thousand U.S. dollars) to be paid in advance each month to the first party.
However the parties agree to set a flight block at $1100 (US dollars thousand
hundred) if after a 10-day test, the aircraft manages to carry 6 tons of cargo
per rotation.
Section 9. In case of non-payment for the flights performed, the first party
will ask the crew to temporarily stop the flights until payment of the sums
due by the second party.
If within 7 days of the cessation of activities, payment has not taken place,
the first party is entitled to send a letter with acknowledgment of receipt to
the second party, notifying him of the termination of the contract and the
formal notice to pay the debts due; and it will also have to pay the taxes and
charges of the airport and compensate all the damage caused by its conduct.
Section 10. The parties are required to use the aircraft with due diligence. In
the event of partial or complete destruction, by negligence or lightness of the
agents of one party, the latter shall be obliged to pay to the other the
compensation for loss of profits.
Section 15. The parties are required to comply with the clauses of this
contract. In the event of abuse, the aggrieved party must notify the other
party in a clarification meeting or by letter with acknowledgment of receipt.
And if the disagreement persists, the party who feels aggrieved will have to
write to the other and ask him for the reconciliation of accounts for an
amicable separation
Section 17. We, the first party, designate MR LUANGHY OKOKO VICK (N°
PASSPORT OP0722039) as our Full Station Manager
Section 18. Dispute: Any dispute that will arise from the execution of this
contract will be settled amicably by an arbitrator chosen by mutual
agreement by the parties. In the absence of any compromise, the dispute will
be brought by the diligent party before the competent courts and tribunals of
the Democratic Republic of Congo.
