La dynamique créée par cette diversification et les résultats positifs réalisés durant l’exercice 2018, comme
illustrés ci-dessous, témoignent sans équivoque des efforts consentis et motivent ainsi l’Entreprise à persévérer
et à œuvrer constamment pour l’amélioration continue de ses résultats opérationnels et financiers.
• Le chiffre d’affaires consolidé est de 5 756 Milliards de DZD, soit une augmentation de 20% par rapport à
l’exercice 2017 ;
• Le résultat net consolidé bénéficiaire de 542 Milliards de DZD, soit une augmentation de 40% par rapport
à l’exercice 2017 ;
• Les réserves consolidées ont atteint un montant de 6 089 Milliards de DZD, par rapport à
5 571 Milliards de DZD en 2017, soit une évolution de 9%.
Ces résultats sont obtenus à partir des comptes consolidés du Groupe SONATRACH, lesquels sont arrêtés
conformément aux règles et principes comptables préconisés par la législation algérienne, approuvés par les
organes sociaux de l’Entreprise et certifiés par les commissaires aux comptes, réguliers, sincères et reflétant
la situation financière et patrimoniale du Groupe SONATRACH.
Les états financiers consolidés ainsi que l’analyse des comptes sont présentés succinctement dans le présent
rapport.

1. PRINCIPES COMPTABLES
Les comptes consolidés du Groupe SONATRACH sont établis en conformité avec :
• Les principes comptables généralement admis en Algérie, en particulier avec la loi 07-11 du 25
novembre 2007 ;
• L’arrêté ministériel du 26 juillet 2008 fixant les règles de présentation des états financiers,
d’évaluation et de comptabilisation ;
• Les normes spécifiques au secteur des hydrocarbures (loi 05-07 du 28 avril 2005) ;
Période de consolidation
Chaque exercice couvre une période de 12 mois qui débute le 1er janvier de chaque année.
Devise de consolidation
La devise de présentation des comptes consolidés est le Dinar algérien (DZD). Sauf indication contraire, les chiffres
présentés dans ce rapport sont en Millions de Dinars Algériens (MDZD).
Principes de consolidation
L’arrêté du 26 juillet 2008 du Ministère des Finances définit les méthodes de consolidation :
• Les sociétés sous contrôle exclusif des sous-groupes et/ou du groupe sont consolidées par intégration
globale ;
• Les sociétés dans lesquelles les sous-groupes et/ou le groupe exercent une influence notable, par la
détention directe ou indirecte d’une fraction au moins égale à 20% des droits de vote, sont mises en
équivalence (MEE).
Le seuil d’intégration des filiales et participations dans le périmètre de consolidation est arrêté au titre de
l’exercice 2018 à 20% conformément aux règles de consolidations et peut être inférieur suivant l’importance de
l’entité à consolider (chiffre d’affaires et résultats) ou dans le cas où la société mère exerce une influence directe
et stratégique sur la participation.
Les comptes des filiales et participations sont établis dans la monnaie du pays dans lequel elles sont implantées :
• Les bilans des filiales et participations à l’étranger sont convertis en Dinars algériens sur la base des
cours de change en vigueur à la date de clôture, générant ainsi des ‘‘Réserves de conversion’’ ;
• Le compte de résultat est converti au cours moyen de l’exercice et les différences de conversion sont
inscrites dans le poste ‘‘résultat de conversion’’.
Les organigrammes juridiques ci-dessous présentent par sous périmètre les participations détenues par le Groupe
SONATRACH en 2018.

3.1.1. Actif
Le goodwill est un écart d’acquisition correspondant à l’excédent du coût d’acquisition, lors d’une prise de
participation ou d’une fusion, sur la quote-part de l’acquéreur dans la juste valeur des actifs et passifs identifiables.
Le Goodwill affiche un montant de 18 540 MDZD en 2018, issu de l’acquisition des actifs de ESSO ITALIANA.
Les immobilisations incorporelles ont connu une légère augmentation de 12%, soit un montant de 2 639 MDZD.
Ces dernières sont principalement composées de frais de développement immobilisés et de gisements miniers.
Les autres immobilisations incorporelles traduisent l’acquisition de divers logiciels avec une évolution de 10 %.
Les immobilisations corporelles ont connu une hausse d’un montant net de 418 510 MDZD, soit 13% par rapport
à l’exercice 2017.
Les équipements fixes et complexes de production représentent 77% des immobilisations corporelles et la
majorité est détenue par la société mère SONATRACH Spa, soit 87%.
Les immobilisations en cours sont quasiment stables par rapport à l’exercice 2017, dont le détail se présente
comme suit :

Les immobilisations financières ont connu une baisse de 25% due principalement au remboursement des bons
de trésor.
Les titres financiers mis en équivalence ont augmenté suite à l’intégration dans le périmètre de plusieurs
participations.
Les « autres titres participations » sont constitués essentiellement de petites participations dans les sociétés
Naturgy et Energia de Portugal. Les variations sur ce compte s’expliquent par les écarts de conversion inscrits au
niveau des comptes sociaux sur ces deux titres principalement.
L’impôt différé actif net a connu une hausse nette de 5 250 MDZD en 2018, soit une variation de 21% par rapport
à l’exercice 2017.
La rubrique stock et en cours consolidés a enregistré un montant de 642 680 MDZD pour l’exercice 2018, dont
71% représente la part de la société mère, soit une augmentation de 31% par rapport à l’exercice 2017.
Le poste créances et emplois assimilés a connu une légère augmentation de 84 335 MDZD pour l’exercice 2018,
soit 3% par rapport à l’exercice 2017.

Dans cette rubrique, le poste créances d’exploitation, constitué de 73% des clients de SONATRACH Spa, a connu
une baisse de 15%, soit un montant de 117 183 MDZD par rapport à l’exercice 2017.
Le poste disponibilités et assimilés a augmenté de 670 928 MDZD, soit 64% par rapport à l’exercice 2017.

Le passif courant comprend essentiellement le compte fournisseurs et les autres dettes d’exploitation qui a
enregistré une augmentation de 78 861 MDZD, soit 18% comparativement à l’exercice 2017.

Les charges et les produits consolidés, au titre de l’exercice 2018, sont respectivement de l’ordre de
6 265 605 MDZD et 6 736 262 MDZD. Le résultat net de l’ensemble consolidé totalise un montant de 541 748
MDZD, dont la part des actionnaires minoritaires est de 697 MDZD.
Le résultat net part Groupe et intérêts minoritaires ont connu une augmentation de 55% et de 41% respectivement
par rapport à l’exercice 2017. Cette augmentation (part groupe) est due principalement au résultat positif de la
société mère.
Les charges ont atteint une valeur de 62 65475 MDZD contre 54 07741 MDZD par rapport à l’exercice 2017, soit
une augmentation de 16%.
Les consommations de l’exercice ont atteint 24 37336 MDZD, soit une augmentation de 8% par rapport à l’exercice
2017.
Ces dernières regroupent les marchandises, les matières et fournitures ainsi que les services.
La majorité des filiales et participations du Groupe ont connu une augmentation de leurs charges du personnel,
une variation de 2% à 21% a été enregistrée par rapport à l’exercice 2017.
La rubrique Impôts et taxes a connu une augmentation de 31% en 2018 par rapport à l’exercice 2017.
Le compte impôts et taxes, est réparti entre les entités du Groupe comme suit :
Les charges financières ont augmenté de 17 2880 millions DZD en 2018, soit 35% par rapport à l’exercice 2017.
Les impôts sur les résultats ont connu une augmentation de 25 305 MDZD, soit 24% par rapport à l’exercice 2017.
Les impôts exigibles d’un montant de 28 331 MDZD, concernent toutes les filiales du Groupe.
Les autres impôts sur les résultats d’un montant de 96 821 MDZD concernent principalement l’impôt pétrolier
enregistré au niveau de la société mère SONATRACH Spa.

SONATRACH, as key growth driver and a driving force of Algeria’s economy, stands out for the diversification
of its activities, both on a domestic and international level, in addition to its core activity.
In this context, SONATRACH, thanks to a planned strategy and a long-term vision, is continuously increasing
its share portfolio, which is taken into account in the scope of consolidation that totalize 114 entities including
the parent company. 39 out of 114 are subsidiaries and investments abroad.
The dynamic generated by such diversification as well as the positive results achieved in 2018, as illustrated
below, clearly demonstrate the efforts made and thus motivate the Company to keep improving its operating
and financial results.
• The consolidated turnover is DZD 5756 billion, a 20% increase compared to 2017.
• The consolidated net profit of DZD 542 billion, a 40% increase compared to 2017.
• Consolidated reserves amounted to DZD 6089 billion, compared to DZD 5571 billion, ie an increase
of 9% compared to 2017.
These results are obtained from SONATRACH Group’s consolidated financial statements closed in accordance
with the accounting rules and principles recommended by Algerian law, approved by the Company’s corporate
bodies and certified by regular, impartial auditors and reflect the Company’s financial and wealth situation.
The consolidated financial statements and the financial statements analysis are summarized in this report.

1. Accounting policies
SONATRACH Group’s consolidated financial statements are prepared in accordance with:
• The accounting policies usually agreed upon in Algeria, in accordance with Act 07-11
of November 25th; 2007.
• The ministerial order of July 26th; 2008 relating to the presentation of financial
statements, valuation and recognition rules.
• The applicable standards to the hydrocarbon sector (05-07 Act) of April 28th; 2005.
Consolidation period
Each financial year covers a 12-month period beginning on 1st; of January of each year.
Consolidation currency
The presentation currency of the consolidated financial statements is the Algerian Dinar (DZD). Unless otherwise
specified, the figures presented in this report are in Millions of Algerian Dinars (MDZD).
Consolidation principles
The decree dated July 26th; 2008 of Finance Ministry defines the consolidation methods:
• Companies under exclusive control of subgroups and/or the group are fully consolidated.
• Companies in which the subgroups and/or the group have significant influence, through the direct
or indirect holding of a fraction equal to at least 20% of the voting rights, are issued under the equity
method .
The threshold for the integration of subsidiaries and equity interests in the scope of consolidation is set at 20%
for the 2018 financial year in accordance with consolidation rules and may be lower depending on the size of the
entity to be consolidated (turnover and results), or when the parent company has a direct and strategic influence
on the holding.
The subsidiaries and affiliate’s financial statements are prepared in the currency of the country in which they are
located:
• The balance sheets of subsidiary companies and investments abroad are converted into Algerian
Dinars on the basis of the exchange rates in force on the closing date, generating “ Translation reserves “
• The income statement is converted at the average exchange rate for the financial year and
the translation differences are recorded in the item ‘‘ Result of conversion’’.

Goodwill is the excess of acquisition cost, in the case of an acquisition or merger, over the acquirer’s share in the
fair value of the identified assets and liabilities.
Goodwill amounted to 18540 MDZD in 2018, resulting from the acquisition of ESSO ITALIANA’s assets.
The latter are mainly composed of capitalized development costs and mining deposits.
Other intangible assets reflect the acquisition of various software products with a 10% increase.
Tangible fixed assets increased by a net amount of 418510 MDZD, or 13% compared to 2017.
Fixed and complex production equipment represent 77% of tangible fixed assets and the majority is held by the
parent company SONATRACH Spa, or 87%.
The fixed assets in progress were virtually stable compared to fiscal 2017, the details of which are as follows:

Financial fixed assets declined by 25% mainly due to the repayment of treasury bonds.
Financial investments accounted with the equity method have increased as a result of the integration in the
scope of several participations.
The « other equity investments » consist mainly of small-scale shareholdings in Naturgy and Energia de Portugal
(EDP) companies. Changes on this account can be explained by the exchange differential recorded in the balance
sheet, mainly on these two equity investments.
Net deferred tax assets increased by DZD 5 250 million in 2018, i.e. a change of 21% compared to fiscal year 2017.
Inventories and work in progress section recorded an amount of DZD 642 680 million for 2018, 71% of which
represents the parent company’s share, i.e. an increase of 31% compared to fiscal year 2017.
Inventories and work in progress mainly concern end products from hydrocarbon processing.
The receivables and similar assets item increased slightly by DZD 84 335 million in 2018, i.e. 3% compared to fiscal
year 2017.

In this section, the operating receivables, made up of 73% of SONATRACH Spa’s customers, decreased by 15%, i.e.
an amount of DZD 117 183 million compared to fiscal year 2017.
Cash and near cash item increased by DZD 670 928 million, i.e. 64% compared to fiscal year 2017.

6. Profitability analysis
The consolidated income and expenses for 2018 are respectively about DZD 6 265 605 million and
DZD 6 736 262 million. The net result of all consolidated accounts amounted to DZD 541 748 million, in which the
share of the minority shareholders is of DZD 697 million.
Net income of the Group and minority interests’ share increased by 55% and 41% respectively compared to fiscal
year 2017. This increase (group’s share) is mainly due to the positive outcome of the parent company.
6.1.2. Turnover
The consolidated turnover is DZD 5 756 457 million for 2018, 85% are which is realized by the parent company,
SONATRACH, that is 20% more compared to the fiscal year 2017.
Financial revenue is, mainly foreign exchange gains, interest from various investments made with cash surpluses
during the financial year and income from the various investments.
6.2. Expenses
Expenses reached 62 65475 MDZD, compared to 54 07741 MDZD in 2017, that is an increase of 16% .
Consumption during the year reached 24 37336 MDZD, compared up to 54 07741 MDZD, that is an increase of
8% compared to 2017.
Most of the Group’s subsidiaries and holdings posted an increase in their personnel expenses. 2% to 21% variation
was recorded compared to 2017 fiscal year.
The taxes and duties account is distributed among entities of the Group as follows:
In 2018, financial expenses were 17 2880 million higher, or 35%, than in 2017.
Income taxes increased by 25 305 MDZD, i.e. 24% more than 2017.
The sum of 28 331 MDZD taxes payable affect all the Group’s subsidiaries.
Other income taxes amounting to 96 821 MDZD affect mainly the petroleum tax recorded at SONATRACH Spa
parent company.

We have reviewed the financial statements of Sonatrach group as approved by the Board of Directors of your
Company for the 2018 financial year, with a total assets / liabilities balance of twelve thousand seven hundred
and forty-seven billion two hundred and eighty million nine hundred and thirty-nine thousand eight hundred
and sixty-four dinars and ten centimes (12,747,280,939 864.10 DA) and a net profit of five hundred forty two
billion seven hundred and thirty-two million three hundred and thirty one thousand eight hundred and ninety-
two dinars and thirty-one centimes (542,732,331,892.31 DA).
Our various control tasks, mainly based on surveys, cross-checks and techniques that we deemed most
appropriate, were carried out in accordance with the rules of due diligence.
Given the results of this work, we certify, subject to taking into account remarks and observations made, and
assumption of responsibility for the physical inventory aspects of the assets of the Group’s entities, that the
consolidated financial statements of the SONATRACH group presented are in their significant aspects and with
respect to the rules and accounting principles of the Algerian Financial System, which are sincere and regular
and give a true and fair view of the financial position of your group for the year closed on December 31st; 2018.
